| Der
Aufsichtsrat hat seine Pflichten im
Geschäftsjahr vom 1. Januar 2023 bis zum 31.
Dezember 2023 (nachfolgend das "Geschäftsjahr
2023") in Übereinstimmung mit den gesetzlichen
Vorschriften und der Satzung der Gesellschaft
wahrgenommen. |
The
Supervisory Board performed its duties in the fiscal
year from January 1st, 2023 to December 31st, 2023
(hereinafter referred to as the "financial year 2023"
or "fiscal year 2023") in accordance with the
statutory provisions and the bylaws of the
Company. |
| Der
Vorstand informierte den Aufsichtsrat entsprechend
seinen Vorgaben regelmäßig, zeitnah und
umfassend schriftlich und mündlich über
alle für das Unternehmen relevanten Fragen der
strategischen Ausrichtung, der Planung, der
Geschäftsentwicklung, der Chancen, der Risiken,
des Risikomanagements und der Compliance. Der
Aufsichtsrat war in Entscheidungen von besonderer
Bedeutung jeweils eingebunden und durch entsprechende
Berichterstattung des Vorstands ausführlich
informiert. Auch außerhalb der
turnusmäßigen Sitzungen des Aufsichtsrats
und seiner Ausschüsse standen die Mitglieder des
Aufsichtsrats, insbesondere der
Aufsichtsratsvorsitzende, in stetem Kontakt mit dem
Vorstand. Auf diese Weise war der Aufsichtsrat
über die aktuellen Entwicklungen der
Geschäftslage und die wesentlichen
Geschäftsvorfälle jeweils zeitnah
informiert. |
In
accordance with its requirements, the Management
Board informed the Supervisory Board regularly,
promptly, and comprehensively, both orally and in
writing, about all issues of relevance to the Company
related to strategic alignment, planning, business
development, opportunities, risks, risk management
and compliance. The Supervisory Board was involved in
decisions of particular importance in each case and
was kept fully informed by corresponding reports from
the Management Board. Outside of the regular meetings
of the Supervisory Board and its committees, the
members of the Supervisory Board, in particular the
Chairman of the Supervisory Board, were also in
constant contact with the Management Board. Thus, the
Supervisory Board was always promptly informed about
current developments in the business situation and
important business transactions. |

Sofern nach Gesetz, Satzung oder
Geschäftsordnung für einzelne
Maßnahmen die Zustimmung des Aufsichtsrats
erforderlich war, wurde hierüber Beschluss
gefasst. Soweit erforderlich wurden zusätzlich
zur mündlichen Erläuterung vom Vorstand
Ausführungen in Textform zu
zustimmungspflichtigen Maßnahmen erstellt, in
denen erforderliche Informationen für die
Entscheidungsfindung des Aufsichtsrats
zusammengestellt waren. |
Where the approval of the Supervisory Board was
required by law, the Articles of Association or the
bylaws for individual measures, resolutions were
passed. Where necessary, in addition to oral
explanations, the Management Board prepared
explanations in text form for measures requiring
approval, in which the necessary information for the
decision-making of the Supervisory Board was
compiled. |

Geschäftsjahr 2023 hat der Aufsichtsrat sowohl
in Präsenz als auch virtuell und telefonisch
getagt. Es wurden elf (11) Aufsichtsratssitzungen
abgehalten. In den Aufsichtsratssitzungen waren alle
Mitglieder des Aufsichtsrats anwesend. |
In
the fiscal year 2023, the Supervisory Board met both
in person and virtually. Eleven (11) Supervisory

einzelnen Geschäftsbereiche unter
Berücksichtigung der jeweiligen
Wettbewerbssituation ein. Wesentliche
Themenschwerpunkte, mit denen sich der Aufsichtsrat
im Geschäftsjahr 2023 befasste, waren: |

General business performance and cost increases |
| Der
Geschäftsverlauf im Jahr 2023 war von den
anhaltenden Auswirkungen der signifikanten
Veränderungen der politischen und
wirtschaftlichen Rahmenbedingungen in den Vorjahren
geprägt. Der Ukraine-Krieg und die zeitweise
deutlich eingeschränkten und verlängerten
Umschlagszeiten in wesentlichen asiatischen
Seehäfen führten zu weiteren
Unterbrechungen der Lieferketten sowie massiven
Preissteigerungen für Produktionskomponenten und
Logistikdienstleistungen. |
Business performance in 2023 was characterized by the
ongoing effects of the significant changes in the
political and economic environment in the years
before. Although overall inflation receded in Germany
and Poland, the SEAG Group continued to experience
significant labor inflation due to multiple and
consecutive years of government mandated wage
increases. |

Ähnlich wie im Jahr 2022 war die SEAG Gruppe
daher mit außergewöhnlich hohen
unterjährigen Kostensteigerungen konfrontiert.
Um dem entgegenzuwirken hat die Unternehmensleitung
gezielte Maßnahmen, insbesondere in Bezug auf
Kosteneinsparungen im operativen Bereich und zur
Entlastung der Liquidität durch Reduzierung des
Working Capital, vorangetrieben. |
Similar to 2022, the SEAG Group was confronted with
exceptionally high cost increases during the year. In
order to counteract, management has pushed ahead with
targeted measures, in particular with regard to cost
savings in the operational area and to enhance
liquidity by reducing working capital. |

Hinzu kamen im Jahresverlauf weiter steigende
Energiepreise. Die, wenn auch noch stets
erhöhten, Aluminiumpreise sanken dagegen nach
2022 wieder herab. Um diesen Herausforderungen Stand
zu halten, reagierte die Automobilbranche mit
Anpassung ihres Produktionsprozesses durch Drosselung
oder Teilschließungen von Produktionssegmenten.
Als Reaktion auf die hieraus entstandenen
Nachfragerückgänge unserer Kunden reagierte
die SEAG Gruppe ebenfalls mit Anpassung ihrer
Produktion in den deutschen und polnischen
Werken. |
In
addition, energy prices continued to rise over the
course of the year. Aluminum, while still elevated,
decreased from 2022. In order to meet these
challenges, the automotive industry reacted by
adapting its production process by reducing or
partially closing production segments. In response to
the resulting decline in demand from our customers,
the SEAG Group also reacted by adjusting its
production at its German and Polish plants. |

wiederum hängen unter anderem von den
Verbraucherausgaben, der finanziellen
Leistungsfähigkeit der privaten Haushalte und
den allgemeinen wirtschaftlichen Bedingungen ab, wie
z. B. dem Konjunkturabschwung. Ebenso spielen andere
Bedingungen eine Rolle, wie z. B. das
Bruttoinlandsprodukt, die Industrieproduktion und
allgemeine wirtschaftliche und politische
Trends. |
The
SEAG Group's business is closely linked to automobile
production and sales. These in turn depend, among
other things, on consumer spending, the financial
capacity of private households and general economic
conditions, such as the economic downturn. Other
conditions also play a part, such as the gross GDP,
industrial production and general economic and
political trends. |
| Die
Rentabilität der SEAG Gruppe ist daher
unmittelbar von der wirtschaftlichen Situation der
Automobilindustrie abhängig. Die wichtigsten
Kunden des Konzerns sind weltweit tätige
Automobilhersteller, die ihre Produktionsstätten
in Europa haben. Die Nachfrage nach
Leichtmetallrädern steigt aufgrund des Trends
von Stahl zu Aluminium stetig. Der Anteil von
Leichtmetallrädern im gesamten europäischen
Rad-Markt wird nach Einschätzung der
Gesellschaft moderat steigen. |
The
profitability of SEAG Group is therefore directly
dependent on the economic situation in the automotive
industry. The Group's key customers are global car
manufacturers with their production facilities in
Europe. Demand for light alloy wheels is rising
steadily due to the trend from steel to aluminum.
According to the Company's estimates, the Company
expects modest growth over market for the next few
years. |

Infolge des globalen Klimawandels steht die
Verminderung von Treibhausgasemissionen auf der
Agenda der europäischen Behörden. Um das
langfristige Ziel der Klimaneutralität im Jahr
2050 zu erreichen, hat sich die EU im Rahmen einer
EU-Verordnung vom 30.07.2021 dazu verpflichtet, die
Emissionen bis zum Jahr 2030 um mindestens 55%
gegenüber dem Stand von 1990 zu reduzieren. Der.

As a
result of global climate change, the reduction of
greenhouse gas emissions is on the agenda of the

am 12. Dezember 2019 in Kraft getretene
Brennstoffemissionshandelsgesetz soll langfristig zu
einem geringeren Ausstoß der Treibhausgase
führen. Gleichzeitig werden durch Abgaben in
Form einer neuen Zusammensetzung des
Kraftstoffpreises (wie beispielsweise höhere
Steuern) Verbraucher dazu gebracht, von
Verbrennungsmotoren auf umweltfreundlichere Hybrid-
und Elektrofahrzeuge umzusteigen. |
The
Fuel Emission Trading Act, which came into force on
December 12th, 2019, is intended to lead to lower
greenhouse gas emissions in the long term. At the
same time, levies in the form of a new mix of the
fuel price (such as higher taxes) will encourage
consumers to switch from internal combustion engines
to more environmentally friendly hybrid and electric
vehicles. |

Leichtmetallradherstellerbereich |
Investigations of German Federal Cartel Office in the
alloy wheel manufacturer sector |
| Das
Bundeskartellamt hat im März 2022 Ermittlungen
gegen die Gesellschaft und andere
Leichtmetallradhersteller wegen des Verdachtes von
wettbewerbsbeschränkenden Vereinbarungen
eingeleitet. Die Gesellschaft hat eine umfassende
interne Untersuchung unter Unterstützung
externer Berater durchgeführt und kooperiert in
vollem Umfang mit dem Bundeskartellamt. |
In
March 2022, the German Federal Cartel Office
initiated an investigation related to European light
alloy wheel manufacturers, including the Company, on
suspicion of conduct restricting competition. The
Company conducted a thorough internal investigation
with the assistance of outside counsel and is
cooperating fully with the German Federal Cartel
Office. |

Durch Beschluss des Amtsgerichts Neustadt an der
Weinstraße (1 IN 69/23) vom 1. Dezember 2023
ist über das Vermögen der
Tochtergesellschaft der Gesellschaft, der Superior
Industries Production Germany GmbH, das
Insolvenzverfahren eröffnet worden. Die Superior
Industries Production Germany GmbH ist damit von Amts
wegen aufgelöst und befindet sich in
Abwicklung. |
By
order of the local court of Neustadt an der
Weinstraße (1 IN 69/23) dated December 1st,
2023, insolvency proceedings were opened over the
assets of the Company's subsidiary, Superior
Industries Production Germany GmbH. Superior
Industries Production Germany GmbH has thus been
dissolved ex officio and is in liquidation. |

| Der
von der Hauptversammlung gewählte
Abschlussprüfer, die Deloitte GmbH
Wirtschaftsprüfungsgesellschaft, München,
wurde mit der Prüfung des Jahresabschlusses der
Gesellschaft zum 31. Dezember 2023 sowie des
Lageberichts für das Geschäftsjahr 2023
beauftragt. Die Abschlussprüfung erfolgte im
Jahr 2024. Die Prüfung durch den
Abschlussprüfer führte zu keinen
Beanstandungen und der Prüfbericht wurde mit
uneingeschränktem Bestätigungsvermerk
ausgestellt. |
The
auditor appointed by the Annual General Meeting,
Deloitte GmbH Wirtschaftsprüfungsgesellschaft,
Munich, was appointed to audit the annual financial
statements of the company as of 31st December 2023 as
well as the management report for the financial year
2023. The audit of the financial statement was
carried out in 2024. The audit by the auditor did not
lead to any objections and the audit report was
issued with an unqualified audit opinion. |

Jahresabschluss zum 31. Dezember 2023 und der
Lagebericht für das Geschäftsjahr 2023
sowie der entsprechende Prüfungsberichtbericht
des Abschlussprüfers wurden allen Mitgliedern
des Aufsichtsrats rechtzeitig zur Verfügung
gestellt und im Beisein des Abschlussprüfers im
Rahmen der Bilanzsitzung am 28. Juni 2024 intensiv
erörtert. |

annual financial statement as of December 31st, 2023
and the management report for the fiscal year 2023 as
well as the respective auditor's report were made
available to all members of the Supervisory Board in
a timely manner and discussed in detail in the
presence of the auditor at the balance sheet meeting
on 28 June 2024. |

Abschlussprüfer berichtete über den Umfang
und den Fokus der Abschlussprüfung sowie die
wesentlichen Feststellungen. Darüber hinaus
diskutierten alle Mitglieder des Aufsichtsrats die
Rechnungslegung ausführlich mit dem Vorstand. In
Ansehung der Feststellungen im Prüfbericht und
den mündlichen Erläuterungen durch den
Abschlussprüfer und den Vorstand erörterte
und prüfte der Aufsichtsrat die
Abschlussunterlagen und die Berichte der
Gesellschaft. Er überzeugte sich davon, dass die
Rechnungslegung allen Anforderungen gerecht wird.
Aufgrund seiner eigenen Prüfung erhob der
Aufsichtsrat keine Einwendungen gegen die
Rechnungslegung durch den Vorstand für das
Geschäftsjahr 2023. |
The
auditor reported on the scope and focus of the audit
and the main findings. In addition, all members of
the Supervisory Board discussed the accounting in
detail with the Management Board. In view of the
findings in the audit report and the oral
explanations by the auditor and the Management Board,
the Supervisory Board discussed and examined the
financial statement documents and the company's
reports. It satisfied itself that the accounting
complies with all requirements. Based on its own
examination, the Supervisory Board raised no
objections to the accounting by the Management Board
for the 2023 fiscal year. |
| Der
Aufsichtsrat billigte den vom Vorstand aufgestellten
Jahresabschluss der Gesellschaft; der Jahresabschluss
der Gesellschaft zum 31. Dezember 2023 ist damit
festgestellt. |

Supervisory Board approved the annual financial
statements of the company as of December 31st, 2023
prepared by the Management Board; the annual

31st, 2023 are thus adopted. |

Außerdem hat der Aufsichtsrat im Rahmen der
Bilanzsitzung am 28. Juni 2024 auch dem Entwurf der
Tagesordnung zur Hauptversammlung zugestimmt und die
Beschlussvorschläge des Aufsichtsrats an die
Hauptversammlung beschlossen. |
Furthermore, in the balance sheet meeting on 28th
June 2024, the Supervisory Board approved the agenda
and the resolution proposals to the annual general
meeting. |

der Besetzung des Aufsichtsrates der Gesellschaft gab
es im Geschäftsjahr 2023 folgende

Supervisory Board of the Company in the financial

Michael Hatzfeld (Vice President und Corporate
Controller der Superior Industries International,
Inc.) ist am 2. März 2023 aus dem Aufsichtsrat
der Gesellschaft ausgeschieden und in den Vorstand
gewechselt. Frau Julia Mouillet wurde auf Antrag an
das Registergericht Ludwigshafen/Rhein nach §
104 Abs. 1 AktG interimsweise ab dem 11. April 2023
bis zum Ablauf der Hauptversammlung 2023 als Mitglied
des Aufsichtsrats bestellt. |
Michael Hatzfeld (Vice President and Corporate
Controller of Superior Industries International,
Inc.) left the Supervisory Board as of 2 March 2023
and was appointed member of the Management Board of
the Company. Julia Mouillet was appointed upon
request to the registry court of Ludwigshafen/Rhein
according to Sec. 104 para. 1 of the German Stock
Corporation Act as member of the Supervisory Board
for the interim period starting 11 April 2023 until
the lapse of the annual general meeting 2023. |
| Auf
der Hauptversammlung der Gesellschaft am 30. August
2023 wurde Herr Kevin Burke (Senior Vice President
und Chief Human Resources Officer der Superior
Industries International, Inc.) bis zur Beendigung
der Hauptversammlung, die über die Entlastung
für das Geschäftsjahr 2027
beschließt, zum Mitglied des Aufsichtsrats der
Gesellschaft gewählt. |

Inc.) bis zur Beendigung der Hauptversammlung, die
über die Entlastung für das
Geschäftsjahr 2027 beschließt, zum
Mitglied des Aufsichtsrats der Gesellschaft
gewählt. |

the Company's Annual General Meeting on August 30th,

Audit of Superior Industries International, Inc.) was
elected as a member of the Company's Supervisory
Board until the end of the Annual General Meeting
that resolves on the discharge for the 2027 financial
