The director submits his report and financial statements for the period from 01.01.2008 - 31.12.2008

a) For the year ended 2008.12.31 the company was entitled to exemption under section 249A(1) of the Companies Act 1985.

(b) Members have not required the company to obtain an audit in accordance with section 249B(2) of the Companies Act 1985.

(c) The directors acknowledge their responsibility for:

i. ensuring the company keeps accounting records which comply with section 221; and

ii. preparing accounts which give a true and fair view of the state of affairs of the company as at the end of the financial year, and of its profit or loss for the financial year, in accordance with the requirements of section 226, and which otherwise comply with the requirements of the Companies Act relating to accounts, so far as applicable to the company;

(d) The abbreviated accounts have been prepared in accordance with the special provisions in Part VII of the Companies Act 1985 relating to small companies.

1 ACCOUNTING POLICIES

1.1 Basis of preparation of financial statements

The full financial statements, from which these abbreviated accounts have been extracted, have been prepared under the historical cost convention and in accordance which German tax and companies law.

1.2 Cash flow

The financial statements do not include a cash flow statement because the company, as a small reporting entity, is exempt from the requirement to prepare such a statement under the Financial Reporting Standard for Smaller Entities (effective June 2002)

1.3 Foreign Currencies

All figures are reported in EURO.

2 INDEBTEDNESS

The company's debts falling due after more than one year concern exclusively the Subscriber of the Shares
