Januar 2011 in den Geschäftsräumen der Harman Becker Automotive Systems GmbH in Karlsbad Anwesend waren:
Den Vorsitz der Gesellschafterversammlung übernahm Herr Mauser. Herr Mauser stellte zunächst fest, dass die Harman Holding GmbH & Co. KG 100 % der Geschäftsanteile der Gesellschaft hält. Herr Mauser stellte weiter fest, dass sämtliche Gesellschafter anwesend waren und somit das gesamte Stammkapital der Gesellschaft vertreten war. Unter Verzicht auf die gesetzlichen und satzungsgemäßen Form- und Fristvorschriften wurde daraufhin eine Gesellschafterversammlung mit folgender Tagesordnung abgehalten: Tagesordnung:
Hierauf beschloss die Gesellschafterversammlung im Wege der mündlichen Abstimmung wie folgt: Zu Punkt 1 der Tagesordnung:Der von der Wirtschaftsprüfungsgesellschaft KPMG AG, Mannheim geprüfte Abschluss des Geschäftsjahres zum 30. Juni 2009 wird festgestellt. Zu Punkt 2 der Tagesordnung:Das Ergebnis des Geschäftsjahres vom 01. Juli 2008 bis 30. Juni 2009, in Höhe von EUR 765.910,74, wird aufgrund des mit der Harman Holding GmbH & Co. KG bestehenden Beherrschungs- und Gewinnabführungsvertrages an diese abgeführt. Zu Punkt 3 der Tagesordnung:Den Geschäftsführern wird für das Geschäftsjahr 01. Juli 2008 bis 30. Juni 2009 Entlastung erteilt. Zu Punkt 4 der Tagesordnung:Zum Abschlussprüfer für das Geschäftsjahr 01. Juli 2009 bis 30. Juni 2010 wird die Wirtschaftsprüfungsgesellschaft KPMG AG, Mannheim, gewählt. Die Beschlüsse 1 bis 4 wurden einstimmig gefasst.
