Anhang für das Geschäftsjahr 2009I. RechnungslegungsvorschriftenDer Jahresabschluss zum 31. Dezember 2009 der DIL CONTRACT Projektmanagement GmbH, Düsseldorf, ist nach den Rechnungslegungsvorschriften des HGB für kleine Kapitalgesellschaften sowie den Sondervorschriften des GmbH-Gesetzes erstellt worden. Die Gliederung von Bilanz und Gewinn- und Verlustrechnung entspricht §§ 266, 275 Abs. 2 HGB, wobei von den Vereinfachungsvorschriften für kleine Kapitalgesellschaften Gebrauch gemacht wurde. II. Allgemeine Erläuterungen zu Bilanzierungs- und BewertungsmethodenDie Bewertung der Vorräte erfolgt zu Anschaffungs-/ Herstellungskosten. Die Forderungen und sonstigen Vermögensgegenstände sowie die Guthaben bei Kreditinstituten wurden zum Nennwert bewertet. Nicht werthaltigen Forderungen und sonstigen Vermögensgegenständen wurde durch die Bildung von Einzelwertberichtigungen Rechnung getragen. Die Rückstellungen berücksichtigen alle erkennbaren Risiken und ungewissen Verpflichtungen. Die Verbindlichkeiten sind mit den Rückzahlungsbeträgen passiviert. III. Erläuterungen zur Bilanz1. Eigenkapital Alleinige Gesellschafterin ist die Deutsche Immobilien Leasing GmbH, Düsseldorf. Mit der Gesellschafterin besteht ein Organschafts- und Ergebnisübernahmevertrag. 2. Forderung und sonstige Vermögensgegenstände Für eine von der Deutsche Bank AG London strukturierte Transaktion hat die DIL CONTRACT für € 3,7 Mio. eine Option erworben, die sie berechtigt unter bestimmten Voraussetzungen 100 % der Anteile einer GmbH zu erwerben. Ankaufpreis ist der Fair Value der GmbH-Anteile zum Zeitpunkt der Ausübung. Die Bewertung der geleisteten Optionsprämie ergab einen Wertansatz von € 0, da die GmbH zum Zeitpunkt der Ausübung der Option am 25. Oktober 2010 nur Bankguthaben als Bilanzaktiva ausweisen wird, Passiva (ausser EK) bestehen nicht. 3. Verbindlichkeiten Die Verbindlichkeiten haben sämtlich eine Restlaufzeit von bis zu einem Jahr. Der Kauf der o.g. Option wurde durch einen Kredit der Deutsche Bank AG refinanziert. Der Kredit ist nur in der Höhe rückzahlbar, in der bei Ablauf der Transaktion ein positiver Wert in der Handelsbilanz ausgewiesen wird. Dementsprechend erfolgt der Ansatz der Verbindlichkeit mit € 0. IV. Erläuterungen zur Gewinn- und VerlustrechnungDie Gewinn- und Verlustrechnung ist nach dem Gesamtkostenverfahren erstellt worden. V. Sonstige Angaben1. Angaben zu den Organen der Gesellschaft Im Geschäftsjahr waren Mitglieder der Geschäftsführung die Herren:
2. Mitarbeiter Die Gesellschaft beschäftigt kein eigenes Personal. 3. Angaben zur Konzernzugehörigkeit Muttergesellschaft im Sinne von § 285 Nr. 14 HGB, die den Konzernabschluss für den größten Kreis von Unternehmen aufstellt, ist die Deutsche Bank AG, Frankfurt am Main; für den kleinsten Kreis ist dies die Deutsche Immobilien Leasing GmbH, Düsseldorf, die von der Verpflichtung, einen eigenen Konzernabschluss zu erstellen nach § 291 Abs. 2 HGB befreit ist. Der Konzernabschluss der Deutsche Bank AG wird im elektronischen Bundesanzeiger bekannt gemacht.
