Anhang zum 31. Dezember 2010I. ALLGEMEINE ANGABEN ZUM JAHRESABSCHLUSSDie Gesellschaft ist eine kleine Kapitalgesellschaft im Sinne des § 267 Abs. 1 HGB. Der vorliegende Jahresabschluss zum 31. Dezember 2010 der Sella Beteiligungs GmbH, München, (im Folgenden auch "Gesellschaft") ist gemäß § 264 Abs. 1 HGB in Verbindung mit § 267 Abs. 1 HGB auf der Grundlage der erstmals zum 1. Januar 2010 verpflichtend anzuwendenden Rechnungslegungsvorschriften des Handelsgesetzbuches unter Berücksichtigung des Bilanzrechtsmodernisierungsgesetz (BilMoG) und den Sondervorschriften des GmbH-Gesetzes sowie den einschlägigen Bestimmungen des Gesellschaftsvertrages aufgestellt. Die erstmalige Anwendung der durch das BilMoG geänderten Vorschriften führte zu keinen Änderungen bei den Ansatz-, Bewertungs- und Ausweisvorschriften. Eine Anpassung der Vorjahreszahlen war daher nicht notwendig, die Zahlen des laufenden Geschäftsjahres sind mit den Vorjahreszahlen vergleichbar. Bei der Aufstellung der Gewinn- und Verlustrechnung wurde von den größenabhängigen Erleichterungen gem. § 276 HGB kein Gebrauch gemacht. In der Gewinn- und Verlustrechnung wird das Gesamtkostenverfahren angewendet. Bei der Aufstellung des Anhangs wurde von den größenabhängigen Erleichterungen gem. §§ 288, 286 (4) HGB vollständig Gebrauch gemacht. Die Gesellschaft erstellte keine von der Handelsbilanz abweichende Steuerbilanz. II. BILANZIERUNG UND BEWERTUNGIm Einzelnen wurden folgende Bilanzierungs- und Bewertungsmethoden angewendet: Die Forderungen und sonstigen Vermögensgegenstände sind mit den Nennwerten bilanziert. Erkennbare Einzelrisiken sind durch Einzelwertberichtigungen berücksichtigt. Die liquiden Mittel werden mit Nennwerten angesetzt. Bei den sonstigen Rückstellungen werden alle erkennbaren Risiken und ungewissen Verpflichtungen berücksichtigt. III. ERLÄUTERUNGEN ZUR BILANZDie Sonstigen Vermögensgegenstände enthalten Forderungen an Gesellschafter in Höhe von TEUR 19 (Vorjahr: 0). Zum 31.12.2010 beläuft sich das Stammkapital auf EUR 25.000,00 und ist voll eingezahlt. Die sonstigen Rückstellungen enthalten Beträge für Rechts- und Beratungskosten. IV. ANDERE ANGABENZum Geschäftsführer ist Herr Prof. Dr. Axel Ullrich bestellt.
