Allgemeine Angaben

Die Gesellschaft hat ihren Sitz in Schönefeld und ist im Wege der Bargründung am 31.07.2023 errichtet worden. Die Eintragung im Handelsregister beim Amtsgericht Cottbus unter der Registernummer HRB 17300 CB erfolgte am 09.08.2023. Daher entfällt die Angabe von Vorjahreszahlen.

Die Gesellschaft ist eine kleine Kapitalgesellschaft i.S.d. § 267 Abs. 1 HGB und unterliegt damit nicht der Prüfungspflicht.

Der Jahresabschluss Geschäftsjahr 2023 wurde nach den Vorschriften der §§ 242 ff. HGB unter der Beachtung der ergänzenden Bestimmungen für kleine Kapitalgesellschaften sowie unter Beachtung rechtsformspezifischer Ausweisvorschriften des GmbH-Gesetzes aufgestellt.

Weiterhin werden die größenabhängige Erleichterungen der §§ 274a, 276 und 288 HGB in Anspruch genommen.

Das Finanzanlagevermögen wurde wie folgt angesetzt und bewertet:

Beteiligungen zu Anschaffungskosten

Die Höhe der Rückstellungen wurde nach vernünftiger kaufmännischer Beurteilung bemessen. Die Rückstellungen berücksichtigen alle zum Zeitpunkt der Aufstellung der Bilanz erkennbaren Risiken und ungewisse Verbindlichkeiten zum Bilanzstichtag.

Verbindlichkeiten wurden zum Erfüllungsbetrag angesetzt.

Erläuterung zur Bilanz

PASSIVA

Die Rückstellungen betreffen die Steuerrückstellungen für noch nicht veranlagte Steuern und die Rückstellung für Aufbewahrung der Unterlagen für die Betriebsprüfung.

Die Verbindlichkeiten haben eine Restlaufzeit von unter 1 Jahr.

Sonstige Angaben

Haftungsverhältnisse aus nicht bilanzierten Verbindlichkeiten gemäß § 251 HGB

Neben den in der Bilanz aufgeführten Verbindlichkeiten sind die keine Haftungsverhältnisse zu vermerken.

Nicht bilanzierte sonstige finanzielle Verpflichtungen

Neben den in der Bilanz ausgewiesenen Verbindlichkeiten bestehen in Höhe von 10.001 TEUR sonstige finanzielle Verpflichtungen.

Es handelt sich hierbei in Höhe von 10.000 TEUR um eine Zahlungsverpflichtung für ein nachrangiges Mezzaninekapitaldarlehen, sowie Verpflichtungen aus Umlagezahlungen gegenüber verbundenen Unternehmen in Höhe von 1 TEUR mit einer Laufzeit von unter 1 Jahr.
