ANHANGI. Allgemeine Angaben Der Jahresabschluss zum Bilanzstichtag 31. Dezember 2011 ist nach den Vorschriften des HGB (§§ 242 ff. und §§ 264 ff. HGB) sowie nach den einschlägigen Vorschriften des GmbHG erstellt. Die Gesellschaft ist eine kleine Kapitalgesellschaft i.S.d. § 267 Abs. 1 HGB. Die Erleichterungsvorschriften für kleine Kapitalgesellschaften wurden teilweise in Anspruch genommen. II. Angaben zu Bilanzierungs- und Bewertungsmethoden Es wurden keine Veränderungen in der Bewertung zum Vorjahr vorgenommen. Die Bewertung erfolgte unter dem Aspekt der Einstellung der Unternehmenstätigkeit, wobei sich Änderungen in der Bewertung nicht ergaben. Die Gewinn- und Verlustrechnung ist nach dem Gesamtkostenverfahren gegliedert. Forderungen und sonstige Vermögensgegenstände werden zum Nennwert angesetzt. Die sonstigen Rückstellungen berücksichtigen alle ungewissen Verbindlichkeiten. Sie sind in der Höhe des Erfüllungsbetrages angesetzt, der nach vernünftiger kaufmännischer Beurteilung notwendig ist. III. Erläuterung zur Bilanz 1. Stammkapital Das Stammkapital beträgt DM 50.000,00 (EUR 25.564,59) und ist voll eingezahlt. Gesellschafter ist die eInstruction GTCO Holdings LLC, USA. 2. Sonstige Rückstellungen Die sonstigen Rückstellungen wurden für die voraussichtlich anfallenden Kosten für die Erstellung des Jahresabschlusses gebildet. IV. Sonstige Angaben 1. Geschäftsführung Geschäftsführer im Geschäftsjahr 2011 war Herr Stephen Thomas Kaye, Kaufmann, Ellicott City/USA. Mit Beschluss der Gesellschafterversammlung vom 23. Januar 2012 sind die Herren Tim Torno, Kaufmann, Texas/USA, und Rich Fennessy, Kaufmann, Arizona/USA, als Geschäftsführer bestellt. Sie sind einzelvertretungsberechtigt und von den Beschränkungen des § 181 BGB befreit. Am 14. März 2012 wurde die Liquidation der Gesellschaft beschlossen. Als Liquidatoren wurden die bisherigen Geschäftsführer, Herr Tim Torno und Herr Rich Fennessy, bestellt. 2. Konzernverhältnisse Der Jahresabschluss wird in den Konzernabschluss der eInstruction GTCO Holdings LLC, USA, einbezogen. 3. Ergebnisverwendung Die Liquidatoren schlagen vor, den Jahresfehlbetrag von EUR 15.389,57 auf neue Rechnung vorzutragen.
