ANHANG für das Geschäftsjahr 2023ALLGEMEINES Die be.digital GmbH mit Sitz in Oldenburg ist im Handelsregister des Amtsgerichts Oldenburg unter der Nummer HRB 201514 eingetragen. Mit Gesellschafterversammlung vom 05.05.2022 wurde die Neufassung des Gesellschaftervertrages beschlossen und die Offshore Windpark RIFFGAT Verwaltungs GmbH in die Achtunddreißigste RE Vermögensverwaltungsgesellschaft mbH umbenannt. Mit Gesellschafterversammlung vom 01.11.2022 wurde die Neufassung des Gesellschaftervertrages beschlossen und die Firma in die be.digital GmbH umbenannt. Die Gesellschaft ist eine Kleinstkapitalgesellschaft im Sinne von § 267a HGB. Größenabhängige Erleichterungen der § 266 Abs. 1 S. 3 HGB und § 288 Abs. 1 HGB wurden in Anspruch genommen. Die Gewinn- und Verlustrechnung wird nach dem Gesamtkostenverfahren dargestellt. Geschäftsjahr ist das Kalenderjahr. BILANZIERUNGS- UND BEWERTUNGSGRUNDSÄTZE Das Umlaufvermögen ist mit Nennwerten aktiviert. Bei der Bildung von Rückstellungen sind erkennbare Risiken und ungewisse Verbindlichkeiten angemessen berücksichtigt. Sie sind in der Höhe des nach vernünftiger kaufmännischer Beurteilung notwendigen Erfüllungsbetrags bemessen. Verbindlichkeiten sind zum Erfüllungsbetrag angesetzt. ERLÄUTERUNGEN ZUR BILANZ Gezeichnetes Kapital Alleinige Gesellschafterin der be.digital GmbH ist die EWE Aktiengesellschaft, Oldenburg (Kaufvertrag vom 13.10.2022) mit einer Stammeinlage von Euro 25.000,00. Die Einlage ist geleistet. Kapitalrücklagen Es besteht eine Kapitalrücklage in Höhe von Euro 555,18. Rückstellungen Die Rückstellung wurden für Jahresabschlusskosten gebildet. SONSTIGE ANGABEN Mitarbeiter Die Gesellschaft beschäftigte im abgelaufenen Geschäftsjahr keine Mitarbeiter. ANGABEN ZU DEN ORGANEN DER GESELLSCHAFT Geschäftsführer ist Herr Hendrik Brockmeyer, Bad Zwischenahn. Die unmittelbare Gesellschafterin EWE Aktiengesellschaft, Oldenburg, erstellt einen Konzernabschluss für den kleinsten Kreis von Unternehmen. Die Ems-Weser-Elbe Versorgungs- und Entsorgungsverband Beteiligungsgesellschaft mbH, Oldenburg, stellt den Konzernabschluss für den größten Kreis von Unternehmen auf. Die Konzernabschlüsse werden im elektronischen Bundesanzeiger bekannt gemacht. Auf die Einbeziehung der Vierunddreißigste RE Vermögensverwaltungsgesellschaft mbH in den Konzernabschluss der EWE Aktiengesellschaft wurde aufgrund der untergeordneten Bedeutung für die Vermögens-, Finanz- und Ertragslage des Konzerns verzichtet. ANGABEN ZU EREIGNISSEN NACH DEM ABSCHLUSSSTICHTAG Vorgänge von besonderer Bedeutung, die nach dem Schluss des Geschäftsjahres eingetreten sind, liegen nicht vor.
