ANHANGBewertungsgrundsätze Der Jahresabschluss wurde unter Bachtung der Vorschriften des Handelsgesetzbuchs (HGB) unter Bachtung der Grundsätze ordnungsmäßiger Buchführung aufgestellt. Bei Erstellung des Jahresabschlusses wurde der Grundsatz der Vollständigkeit entsprechend den gesetzlichen Regelungen eingehalten. Bei der Bewertung der einzelnen Vermögensgegenstände und Schulden wurde der Grundsatz der Einzelbewertung beachtet und eine Fortführung des Unternehmens unterstellt. Das Finanzanlagevermögen wurde zu Anschaffungskosten bewertet. Die Forderungen und sonstigen Vermögensgegenstände wurden mit dem Nennwert angesetzt. Im Falle erkennbarer Einzelrisiken erfolgt der Ansatz zum beizulegenden Wert. In den sonstigen Rückstellungen wurden alle im Zeitpunkt der Bilanzerstellung erkennbaren Risiken und der Höhe oder dem Grunde nach ungewissen Verbindlichkeiten mit den Beträgen berücksichtgt, die nach bestmöglicher Schätzung zur Erfüllung der Verpflichtung aufgewendet werden müssen. Verbindlichkeiten wurden mit ihrem Erfüllungsbetrag angesetzt. Verbindlichkeit mit einer Restlaufzeit von mehr als 5 Jahren bestehen nicht. Haftungsverhältnisse Zum 31. Dezember 2023 bestehen folgende Haftungsverhältnisse:
Beherrschungsvertrag Laut Beherrschungs- und Gewinnabführungsvertrag vom 28. November 2013 führt die Boards & More Holding GmbH, Oberhaching, ihren Gewinn per 31.12.2023 in Höhe von TEUR 1.469 (VJ: Gewinn TEUR 1.961) an die Aquatics Holding GmbH, Oberhaching, ab. Laut Beherrschungs- und Gewinnabführungsvertrag vom 20. September 2019 führt die Aquatics Holding GmbH, Oberhaching, ihren Gewinn per 31.12.2023 in Höhe von TEUR 1.769 (VJ: Gewinn TEUR 2.159) an die Elements Holding GmbH, München, ab. Sonstige Angaben Die durchschnittliche Zahl der Arbeitnehmer während des Geschäftsjahrs 2023 beträgt 0 (VJ: 0). An die Mitglieder der Geschäftsführung wurden, wie auch im Vorjahr, keinerlei Vorschüsse oder Kredite gewährt. Die Gesellschaft steht mit der EMERAM B&M Continuation Fund GmbH & Co. KG, München, Deutschland (oberstes Konzernmutterunternehmen) und deren verbundenen Unternehmen in einem Konzernverhältnis und wird in deren Konzernabschluss einbezogen. Dieser Konzernabschluss wird beim Firmengericht des Handelsgerichts München hinterlegt und stellt den Konzernabschluss für den größten Konzernkreis dar.
