Die Belden Electronics GmbH hält 94,9%, die Belden Inc. 5,1% der Geschäftsanteile der Hirschmann Electronics GmbH mit Sitz in Neckartenzlingen, eingetragen im Handelsregister des Amtsgerichts Stuttgart unter HRB 225933 und fassen hiermit unter Verzicht auf die Einhaltung aller Form- und Fristenvorschriften für die Einberufung und Abhaltung von Gesellschaftsversammlungen, folgenden Beschluss: Belden Electronics GmbH holds 94,9% of the shares and Belden Inc. holds 5,1% of the shares in Hirschmann Electronics GmbH, with its registered offices in Neckartenzlingen, registered in the commercial register of the local court of Stuttgart under HRB 225933 hereby passes — waiving of any formal or timely requirements for the calling and holding of shareholder’s meeting — the following shareholder’s resolution:

1. Der Bericht über das Geschäftsjahr 2023 wird entgegengenommen. 1. The report of the fiscal year 2023 is accepted.
2. Der Jahresabschluss zum 31.12.2023, welcher einen Jahresüberschuss von EUR 0,00 und eine Bilanzsumme von EUR 45.000.320,68 aufweist, wird in der vorliegenden Form festgestellt. 2. The financial statements as of December 31, 2023 showing a net profit of EUR 0,00 and total assets of EUR 45.000.320,68 is approved.
