ANHANG

A. Allgemeine Angaben

1. Die First Solar Joint Venture Europe GmbH hat ihren Sitz in Mainz und ist in das Handelsregister beim Amtsgericht Mainz unter HRB 44898 eingetragen.

2. Der Jahresabschluss zum 31. Dezember 2017 wurde nach Vorschriften des Handelsgesetzbuches (HGB) und dem Gesetz betreffend die Gesellschaften mit beschränkter Haftung (GmbH) erstellt.

3. Die Gesellschaft weist zum Abschlussstichtag die Größenmerkmale einer kleinen Kapitalgesellschaft gemäß § 267 Abs. 1 HGB auf. Von den Erleichterungen der §§ 274a, 288 HGB wurde im Einzelfall Gebrauch gemacht.

4. Die Aufstellung des Jahresabschlusses erfolgte unter Annahme der Unternehmensfortführung.

5. Die Gliederung der Bilanz erfolgte gemäß § 266 HGB. Die Gewinn- und Verlustrechnung wurde gemäß § 275 Abs. 2 HGB nach dem Gesamtkostenverfahren aufgestellt.

B. Erläuterungen zu den Bilanzierungs- und Bewertungsmethoden

Bei der Aufstellung der Bilanz und der Gewinn- und Verlustrechnung wurden folgende Bilanzierungs- und Bewertungsmethoden angewandt:

1. Die Finanzanlagen wurden mit Anschaffungskosten bewertet.

2. Die Forderungen sind zum Nominalwert angesetzt.

3. Die liquiden Mittel sind mit dem Nominalwert angesetzt.

4. Das Gezeichnete Kapital entspricht der Eintragung im Handelsregister.

5. Rückstellungen wurden nach vernünftiger kaufmännischer Beurteilung gebildet und berücksichtigen alle erkennbaren Risiken und ungewissen Verpflichtungen.

6. Verbindlichkeiten sind mit ihren Erfüllungsbeträgen bilanziert.

C. Angaben zur Bilanz

1. Die Forderungen besitzen alle eine Laufzeit von weniger als einem Jahr.

2. Die Forderungen gegen verbundene Unternehmen beinhalten EUR 0,00 für Lieferungen und Leistungen (Vorjahr: EUR 0,00) und EUR 6.286,93 für sonstige Vermögensgegenstände (Vorjahr: EUR 8.291,07). In den Forderungen sind Forderungen gegen Gesellschafter in Höhe von EUR 6.286,93 ausgewiesen (Vorjahr: EUR 8.291,07).

3. Die Verbindlichkeiten besitzen alle eine Laufzeit von weniger als einem Jahr. Es werden keine Verbindlichkeiten mit einer Restlaufzeit von mehr als fünf Jahren ausgewiesen.

4. Es werden keine Verbindlichkeiten gegenüber Gesellschafter ausgewiesen.

D. Sonstige Angaben

1. Wie im Vorjahr wurden im Geschäftsjahr 2017 keine Arbeitnehmer beschäftigt.

2. Es liegen keine Haftungsverhältnisse vor. Es bestehen keine sonstigen finanziellen Verpflichtungen.

3. Vorgänge von besonderer Bedeutung nach Ende des Geschäftsjahres sind nicht eingetreten.

4. Im Folgenden werden die Angaben zu Unternehmen zusammengefasst, an denen die Gesellschaft mindestens den fünften Anteil besitzt:

5. Die First Solar Joint Venture Europe GmbH wird in den Konzernabschluss der First Solar Inc. (Nasdaq: FSLR) einbezogen. Der Ort der Hinterlegung des Konzernabschlusses ist Tempe, USA.

6. Die Geschäfte der Gesellschaft wurden im Geschäftsjahr durch den bestellten Geschäftsführer Stefan Degener geführt.

7. Die Geschäftsführung erhielt keine Vergütung.

8. Die Geschäftsführung schlägt vor, den Jahresüberschuss in Höhe von EUR 0,00 zusammen mit dem Verlustvortrag von EUR 1.950,00 auf neue Rechnung vorzutragen.
