Anhang zum 31. Dezember 2021VorbemerkungDie Gesellschaft hat zum 31.12.2021 ihr erstes
Geschäftsjahr beendet, und befindet sich in der
Anlaufphase. Die Gesell schaft bedarf in der Anlaufphase
der finanzielIen Unterstützung ihrer Gesellschafterin.
Im abgelaufenen Geschäftsjahr beläuft sich der
Jahresfehlbetrag auf Euro 401.378,76.
Die Gesellschaft weist bei einer BiIanzsumme von Euro
409.600,92 einen nicht durch Eigenkapital gedeckten
Fehlbetrag in Höhe von Euro 376.378,76 aus. Die
Gesellschaft ist damit bilanziell überschuldet.
Die Gesellschaft geht jedoch vor dem Hintergrund
bestehender Rangrücktrittserklärungen der
Gesellschafter in Höhe von Euro 400.000,00 davon aus,
dass eine rechtliche Überschuldung nicht vorliegt.
Im Übrigen geht die Gesellschaft davon aus, dass
die Fortführungsfähigkeit der Gesellschaft
gegeben ist. Der vorliegende Jahresabschluss ist daher
unter Going-Concern-Gesichtspunkten aufgestellt worden.
Die Gesellschaft geht jedoch davon aus, dass eine
Überschuldung im insolvenzrechtlichen Sinne nicht
vorliege, da derzeit nach den Umständen die
Fortführung des Unternehmens überwiegend
wahrscheinIich ist (§ 19 InsO). Der vorliegende
Jahresabschluss ist daher unter
Going-Concern-Gesichtspunkten aufgestellt worden.
1. Allgemeine AngabenDer Jahresabschluss wurde nach den Vorschriften der
§§ 242 ff. HGB unter der Beachtung der
ergänzenden Bestimmungen für
Kleinstkapitalgesellschaften aufgestellt.
2. Angaben zu Bilanzierungs- und BewertungsmethodenBilanzierungs- und BewertungsgrundsätzeDie Vorräte wurden zu Anschaffungs- bzw.
Herstellungskosten angesetzt. Sofern die Tageswerte am
Bilanzstichtag niedriger waren, wurden diese angesetzt.
Forderungen und sonstige Vermögensgegenstände
sind zum Nennwert angesetzt. Zur Abdeckung des allgemeinen
Kreditrisikos wurden Pauschalwertberichtigungen angesetzt.
Für zweifelhafte Forderungen wurden
Einzelwertberichtigungen vorgenommen.
Die sonstigen Rückstellungen wurden für alle
weiteren ungewissen Verbindlichkeiten gebildet. Dabei
wurden alle erkennbaren Risiken berücksichtigt.
Verbindlichkeiten wurden zum Erfüllungsbetrag
angesetzt.
Gegenüber dem Vorjahr abweichende Bilanzierungs- und BewertungsmethodenBeim Jahresabschluss konnten die bisher angewandten
Bilanzierungs- und Bewertungsmethoden im Wesentlichen
übernommen werden.
3. Angaben zur BilanzAngaben zu Ausleihungen, Forderungen und Verbindlichkeiten gegenüber Gesellschaftern (§ 42 Abs. 3 GmbHG / § 264c Abs. 1 HGB)Gegenüber den Gesellschaftern bestehen die
nachfolgenden Rechte und Pflichten:
