Allgemeine Angaben zum Jahresabschluss
Die Gesellschaft ist nach § 267 Abs. 1 HGB eine kleine Kapitalgesellschaft. Die gemäß §§ 274a, 276, 288 HG bestehenden Erleichterungsvorschriften sowie die Möglichkeiten zur Unterlassung von Angaben entsprechend § 286 HGB wurden in Anspruch genommen. Auf die Aufstellung eines Lageberichts wurde gemäß § 264 Abs.1 S. 4 HGB verzichtet. Die Bilanz und die Gewinn- und Verlustrechnung wurden in Übereinstimmung mit den §§ 242 bis 256 und §§ 264 bis 283 HGB aufgestellt. Das Geschäftsjahr entspricht dem Kalenderjahr. Bilanzierungs- und Bewertungsmethoden Bei der Bewertung zum 31.12.2022 wurde, von der Fortführung der Unternehmenstätigkeit ausgegangen, da die Insolvenzanmeldung erst 15 Monate nach dem Bilanzstichtag stattfand. 1. Anlagevermögen Das Anlagevermögen wurde zu Anschaffungs- und Herstellungskosten vermindert um lineare Abschreibungen bilanziert. Finanzanlagen wurden zu Anschaffungskosten angesetzt. 2. Vorräte Die Vorräte wurden mit den Anschaffungskosten und Herstellungskosten bewertet. 3. Forderungen und sonstige Vermögensgegenstände Die Forderungen und sonstigen Vermögensgegenstände sind zum Nominalwert ausgewiesen. 4. Schecks, Kassenbestand und Guthaben bei Kreditinstituten Die Guthaben und Bestände sind zum Nominalwert angesetzt. 5. Eigenkapital Das Gezeichnete Kapital beträgt € 25.000. Die Gesellschaft weist einen "Nicht durch Eigenkapital gedeckten Fehlbetrag" von € 428.802,11 aus und ist damit buchmäßig überschuldet. Die handels- und insolvenz-rechtlichen Konsequenzen der Überschuldung wurden abgewendet durch Rangrücktrittserklärungen von Gläubigern und eine positive Fortführungsprognose der Geschäftsführung. 6. Rückstellungen Für ungewisse Verbindlichkeiten wurden Rückstellungen in dem Umfang gebildet, der nach vernünftiger kaufmännischer Beurteilung notwendig ist. 7. Verbindlichkeiten Die Verbindlichkeiten sind mit den Rückzahlungsbeträgen bilanziert. Angaben zur Gewinn- und Verlustrechnung Die sonstigen betrieblichen Aufwendungen enthalten € 96.638,66 für Mieten aus Vorjahren. Sonstige Angaben Es bestehen sonstige finanzielle Verpflichtungen aus Miet- und Leasingverträgen von insgesamt T€ 90. Die Gesellschaft beschäftigte im Durchschnitt 10 Arbeitnehmer. Die Gesellschaft mußte am 01. April 2024 beim Amtsgericht Stuttgart Insolvenz anmelden (Az. 3 IN 29/24). Stuttgart, den 25.Juli 2024 Dr. Wilfried Weiss Geschäftsführer sonstige Berichtsbestandteile
