1. Vorbemerkung: 1. Preamble:
Die Eviden Germany GmbH (damals noch firmierend unter Atos Holding Germany 1 GmbH) entstand mit Eintragung im Handelsregister am 17. Januar 2023. Eviden Germany GmbH (then still operating under the name Atos Holding Germany 1 GmbH) was established upon entry in the commercial register on January 17, 2023.
Die Gesellschaft übernahm sodann das Eviden- Geschäft der Atos Information Technology GmbH und der Atos IT-Dienstleistung und Beratung GmbH im Wege der Ausgliederung. Beide Ausgliederungen wurden mit Eintragung im Handelsregister am 28. April 2023 wirksam. The company then acquired the Eviden business of Atos Information Technology GmbH and Atos IT-Dienstleistung und Beratung GmbH by way of a demerger. Both demergers became effective upon entry in the commercial register on April 28, 2023.
Da die Gesellschaft nach Wirksamwerden der Ausgliederungen in der Regel mehr als 2.000 Arbeitnehmer beschäftigte, leitete die Geschäftsführung durch Bekanntmachung im Bundesanzeiger vom 16. Mai 2023 ein Statusverfahren zur Bildung eines paritätisch mitbestimmten Aufsichtsrats mit je sechs Aufsichtsratsmitgliedern der Anteilseigner und der Arbeitnehmer ein. As the company generally employed more than 2,000 employees after the demergers becoming effective, the management board initiated by way of announcement in the federal gazette on May 16, 2023 a status procedure for the formation of a parity-based co-determined supervisory board with six shareholder and employee representatives, respectively.
Mit Gesellschafterbeschluss vom 29. Juni 2023 wurden die Anteilseignervertreter im Aufsichtsrat der Gesellschaft bestellt. Die Bestellung der Arbeitnehmervertreter erfolgte im Wege gerichtlicher Bestellung durch Beschluss des Registergerichts München vom 27. Juli 2023. Die konstituierende Sitzung des Aufsichtsrats fand am 10. Oktober 2023 statt. The shareholder representatives on the company's supervisory board were appointed by shareholder resolution on June 29, 2023. The employee representatives were appointed by way of court appointment by resolution of the Munich registry court on July 27, 2023. 3. Wahrnehmung der Aufgaben des Aufsichtsrats im Geschäftsjahr 2023 3. Performance of the duties of the supervisory board during the financial year 2023
Der Aufsichtsrat der Gesellschaft hat im Geschäftsjahr 2023 seit seinem Bestehen die ihm nach Gesetz und Satzung zukommenden Aufgaben wahrgenommen. Since its inception in the 2023 financial year, the supervisory board of the company has performed the duties incumbent upon it in accordance with the law and the articles of association.
Der Aufsichtsrat der Gesellschaft wurde von der Geschäftsführung regelmäßig, zeitnah und umfassend über die wirtschaftliche und finanzielle Lage sowie über die Entwicklung der Gesellschaft, über wesentliche Geschäftsereignisse und über die Unternehmensplanung informiert. Darüber hinaus wurde der Vorsitzende des Aufsichtsrats von der Geschäftsführung laufend über wesentliche Entscheidungen und Entwicklungen in Kenntnis gesetzt und stand in laufendem Kontakt mit der Geschäftsführung. The supervisory board of the company was informed in a regular, timely and complete manner by the management board of the economic and financial situation as well as the development of the company, important business incidents and business planning. In addition, the chairman of the supervisory board was permanently informed about important business decisions and business developments by and was in permanent contact with the management board.
Der Aufsichtsrat hat die Geschäftsführung bei der Leitung des Unternehmens beraten und die Geschäftsführung überwacht. In Entscheidungen von wesentlicher Bedeutung für die Gesellschaft war der Aufsichtsrat eingebunden. The supervisory board advised and monitored the management board. The supervisory board was involved in decisions of major importance for the company.
Der Jahresabschluss und der Prüfungsbericht lagen allen Mitgliedern des Aufsichtsrats rechtzeitig vor und wurden in der Bilanzsitzung des Aufsichtsrats am 9. Juli 2025 intensiv beraten und eingehend geprüft. The annual financial statements and the audit report were timely available to all members of the supervisory board and were intensively discussed and reviewed in the balance sheet meeting of the supervisory board on July 9, 2025.
An diesen Erörterungen nahmen die Abschlussprüfer von Grant Thornton AG Wirtschaftsprüfungsgesellschaft, Düsseldorf, teil, die über die wesentlichen Ergebnisse ihrer Prüfung berichteten und für ergänzende Auskünfte zur Verfügung standen. Der Aufsichtsrat stimmt dem Ergebnis der Prüfung zu. The auditors of Grant Thornton AG Wirtschaftsprüfungsgesellschaft, Düsseldorf, attended the aforementioned discussions, reported on the material results of their audit and were available for additional information. The supervisory board approves the result of the audit.
Der Aufsichtsrat erhebt nach dem abschließenden Ergebnis seiner eigenen Prüfung keine Einwendungen und billigt den von der Geschäftsführung aufgestellten Abschluss und den Prüfungsbericht des Abschlussprüfers. Dem Vorschlag der Geschäftsführung für die Ergebnisverwendung stimmt der Aufsichtsrat zu. After concluding its own review, the supervisory board does not raise any objections and approves the annual financial statements and the annual report as prepared by the management board as well as the audit report of the auditor. The supervisory board approves the proposal of the management board for the appropriation of the result.
