Elis Textilmanagement Gesellschaft mit beschränkter Haftung with its seat in Hamburg and registered with the commercial register of the local court of Hamburg at HRB 137565 is the sole shareholder of decontam GmbH with its seat in Bad Windsheim and registered with the commercial register of the local court of Fürth at HRB 11982 (hereinafter: the "Company") Elis Textilmanagement Gesellschaft mit beschränkter Haftung mit Sitz in Hamburg und eingetragen im Handelsregister des Amtsgerichts Hamburg unter HRB 137565 ist die alleinige Gesellschafterin der decontam GmbH mit Sitz in Bad Windsheim und eingetragen im Handelsregister des Amtsgerichts Fürth unter HRB 11982 (nachfolgend: die "Gesellschaft").
Waiving all requirements as to forms and notice periods for the announcement, calling and holding of shareholders' meetings, we herewith hold an ordinary shareholder's meeting of the Company and unanimously resolve as follows. Unter Verzicht auf sämtliche Form- und Fristvorschriften über die Ankündigung, Einberufung und Abhaltung von Gesellschafterversammlungen halten wir hiermit eine ordentliche Gesellschafterversammlung der Gesellschaft ab und beschließen einstimmig wie folgt:
