Anhang für das Geschäftsjahr 2010Allgemeine AngabenDie FDL Wohnen GmbH, Essen, ist im Handelsregister des Amtsgerichts Essen unter der Nummer HR B 20070 eingetragen worden. Gesellschafter ist zu 100% die Batisica S.a.r.l mit Sitz in Luxembourg. Der vorliegende Jahresabschluss wurde gemäß §§ 242 ff. und §§ 264 ff. HGB aufgestellt. Es gelten die Vorschriften für kleine Kapitalgesellschaften. Es wurde von dem Wahlrecht nach §326 HGB Gebrauch gemacht, auf die Erläuterung der Gewinn- und Verlustrechnung zu verzichten. Weiterhin wurden Wahlrechte nach §266 I S3, §274a und §288 S1 HGB in Anspruch genommen. Die Bilanz ist entsprechend den Formblättern für die Gliederung des Jahresabschlusses vom Wohnungsunternehmen vom 22. September 1970 in der Fassung vom 6. März 1987 gegliedert. Bei der Gliederung und Bezeichnung sind die Besonderheiten der Geschäftstätigkeit der Gesellschaft berücksichtigt. Bilanzierungs- und BewertungsgrundsätzeFür die Aufstellung des Jahresabschlusses waren die nachfolgenden Bilanzierungs- und Bewertungsmethoden maßgebend. Die Finanzanlagen sind zu Anschaffungskosten bewertet. Bei den Forderungen und sonstigen Vermögensgegenständen sind alle erkennbaren Risiken berücksichtigt. Die sonstigen Rückstellungen berücksichtigen alle erkennbaren Risiken sowie alle ungewissen Verpflichtungen. Verbindlichkeiten sind mit ihren Rückzahlungsbeträgen angesetzt. Erläuterungen zur BilanzFinanzanlagen Die Berichtsgesellschaft ist zu 94% an der Immeo Gesellschaft für Wohnen Datteln mbH, zu 94% an der RRW-FDL Wohnen GmbH & Co. KG und zu 100% an der Immeo Stadtwohnung GmbH beteiligt. Forderungen und sonstige Vermögensgegenstände Forderungen gegen verbundene Unternehmen stammen im Wesentlichen aus konzerninternen Finanzierungsvorgängen. Die sonstigen Vermögensgegenstände stammen aus Forderungen aus der Rückerstattung von Steuern. Eigenkapital Das Gezeichnete Kapital der Gesellschaft beträgt T€ 25. Rückstellungen Die sonstigen Rückstellungen beinhalten im Wesentlichen Rückstellungen für ausstehende Rechnungen. Verbindlichkeiten Die Verbindlichkeiten gegenüber Kreditinstituten sind durch brieflose Global-Grundschulden zugunsten der Darlehensgläubiger in voller Höhe gesichert. Gemäß §326 HGB verzichten wir auf die Erläuterung der Gewinn und Verlustrechnung. Sonstige AngabenDa die FDL Wohnen GmbH über kein eigenes Personal verfügt, werden sämtliche Aktivitäten der Gesellschaft von der Immeo Wohnen Service GmbH, Essen, im Rahmen eines Geschäftsbesorgungsvertrags erbracht. Mitglieder der Geschäftsführung Dr. Daniel Frey, Dipl.-Ökonom Heinz-Günther Kaiser, Rechtsanwalt Walter Ziegler, Dipl.-Geograph Konzernverhältnisse Der Jahresabschluss wird in den Konzernabschluss des französischen Konzerns Foncière Développement Logements S.A. einbezogen, die den Konzernabschluss für den größten Kreis von Unternehmen aufstellt. Der Konzernabschluss ist bei Foncière Développement Logements S.A. an deren Sitz in Paris erhältlich.
