Anhang für das Geschäftsjahr 2010I. ALLGEMEINE ANGABEN ZUM JAHRESABSCHLUSS Der vorliegende Jahresabschluss wurde gemäß §§ 242 ff. und §§ 264 ff. HGB sowie nach den einschlägigen Vorschriften des GmbHG und des Gesellschaftsvertrags aufgestellt. Es gelten die Vorschriften für kleine Kapitalgesellschaften. Die Gliederung der Bilanz entspricht § 266 Abs. 2 und 3 HGB. Im Geschäftsjahr wurden erstmals die Bilanzierungs- und Bewertungsvorschriften des Bilanzrechtsmodernisierungsgesetzes angewendet. Eine Anpassung der Vorjahreszahlen erfolgt gemäß Artikel 67 Abs. 8 Satz 2 EGHGB nicht. II. BILANZIERUNGS- UND BEWERTUNGSMETHODEN Die Bewertung wurde wegen der am 26. Oktober 2009 mit Wirkung ab 1. November 2009 beschlossenen Auflösung der Gesellschaft unter Liquidationsgesichtspunkten vorgenommen. 1. Sonstige Vermögensgegenstände Die sonstigen Vermögensgegenstände sind grundsätzlich mit ihren Nennwerten aktiviert. 2. Liquide Mittel Die liquiden Mittel werden mit den Nennwerten angesetzt. 3. Sonstige Rückstellungen Die Rückstellungen berücksichtigen alle ungewissen Verbindlichkeiten und drohenden Verluste aus schwebenden Geschäften und sind jeweils in Höhe des nach vernünftiger kaufmännischer Beurteilung notwendigen Erfüllungsbetrags (d. h. einschließlich zukünftiger Kosten- und Preissteigerungen) angesetzt. 4. Verbindlichkeiten Die Verbindlichkeiten sind zum Erfüllungsbetrag angesetzt. III. ANGABEN ZUR BILANZ Verbindlichkeiten Die Restlaufzeiten der ausgewiesenen Verbindlichkeiten betragen nicht mehr als 1 Jahr. IV. SONSTIGE ANGABEN 1. Liquidation Die Gesellschafterin der SYSTEMSTAHL GmbH hat am 26. Oktober 2009 mit Wirkung ab 1. November 2009 die Auflösung der Gesellschaft beschlossen. Die Bekanntmachung der Auflösung der Gesellschaft und der zugehörige Gläubigeraufruf wurde jeweils am 2. November, 3. November sowie 4. November 2009 durchgeführt. Die Eintragung des Liquidators ins Handelsregister Dresden erfolgte zum 4. November 2009. 2. Gesellschaftsorgane Zum Liquidator ist bestellt: Herr Jan Heinrich Loesch, Diplom-Kaufmann
