1. Allgemeines Die Gesellschaft ist eine kleine Kapitalgesellschaft im Sinne des § 267 I HGB. Der Jahresabschluss wurde nach den relevanten Vorschriften des Handelsgesetzbuches und des Aktiengesetzes aufgestellt. Größenabhängige Erleichterungen für kleine Kapitalgesellschaften hinsichtlich der Angaben im Anhang nach § 274a HGB und § 288 HGB wurden in Anspruch genommen. 2. Bilanzierungs- und Bewertungsgrundsätze Die immateriellen Vermögensgegenstände sind zu Anschaffungskosten, vermindert um planmäßige, lineare Abschreibungen unter Zugrundelegung einer Nutzungsdauer von drei bis fünf Jahren ausgewiesen. Das Sachanlagevermögen ist zu Anschaffungskosten, vermindert um planmäßige, nutzungsbedingte Abschreibungen, angesetzt. Es wird linear abgeschrieben. Die Nutzungsdauer beträgt drei bis zehn Jahre. Geringwertige Wirtschaftsgüter im Sinne von § 6 Abs. 2 EStG werden im Zugangsjahr voll abgeschrieben. Die Finanzanlagen sind zu den Anschaffungskosten angesetzt. Forderungen aus Lieferungen und Leistungen sowie sonstige Vermögensgegenstände sind mit dem Nennwert angesetzt. Bei den Forderungen aus Lieferungen und Leistungen wurde eine Pauschalwertberichtigung von 1% der um die Umsatzsteuer gekürzten Außenstände gebildet. Die Vorräte wurden zu Einstandspreisen bewertet. Die Bankguthaben und der Kassenbestand sind mit den Nominalwerten ausgewiesen. Der Eigenkapitalausweis entspricht den handels- und aktienrechtlichen Vorschriften. Die sonstigen Rückstellungen berücksichtigen alle erkennbaren Risiken und ungewissen Verpflichtungen, die nach vernünftiger kaufmännischer Beurteilung notwendig sind. Die Verbindlichkeiten sind gem. § 253 (1) HGB mit dem Rückzahlungsbetrag angesetzt. B. ERLÄUTERUNGEN ZUR BILANZ Das gezeichnete Kapital beträgt EUR 102.258,38 und ist eingeteilt in 200 Stückaktien. C. SONSTIGE ANGABEN Als Aufsichtsräte waren im Geschäftsjahr bestellt: -- Herr Jochen Renfordt, Hagen, selbständiger Unternehmensberater (Vorsitzender des Aufsichtsrats) -- Herr Michael Fandrich, Landsberg/Lech, in Ruhestand (Stellvertretender Vorsitzender) -- Herr Markus Rossi, CH-Meisterschwanden, Inhaber und Geschäftsführer Wellco Consulting (Schweiz) Als Vorstand war bestellt: -- Herr Thomas Zink
