AnhangA. Allgemeine Angaben Die Xeed GmbH ist beim AG - Hamburg unter der Registernummer HRB 128475 eingetragen. Zum Geschäftsführer sind Frau Vera Wolber und Herr Gordon Domnick bestellt. Der vorliegende Jahresabschluss ist nach den Vorschriften des Dritten Buches des HGB (§§ 238 ff. HGB) unter Beachtung der ergänzenden Bestimmungen für Kapitalgesellschaften (§§ 264 ff. HGB) aufgestellt worden. B. Angaben zu Bilanzierungs- und Bewertungsmethoden Der Jahresabschluss der Xeed GmbH wurde auf Grundlage der Bilanzierungsvorschriften des Handelsgesetzbuches aufgestellt. Ergänzend zu diesen Vorschriften waren die Regelungen des Gesellschaftsvertrages zu beachten. Folgende Bilanzierungs- und bewertungsvorschriften sind maßgebend: Die Vermögensgegenstände des Anlagevermögens sind zu Anschaffungs- bzw. Herstellungskosten, vermindert um planmäßige Abschreibungen, bewertet. Etwaige Abschreibungen erfolgen linear entsprechend der voraussichtlichen Nutzungsdauer. Die Bewertung der Forderungen und sonstigen Vermögensgegenstände, erfolgt mit dem Nominalwert, Wertberichtigungen und Abschreibungen auf Forderungen waren nicht erforderlich. Für alle am Bilanzstichtag bestehenden ungewissen Verbindlichkeiten werden Rückstellungen gebildet. Die Bewertung erfolgt i.H.d. nach vernünftiger kaufmännischer Beteiligung notwendigen Erfüllungsbetrages. Verbindlichkeiten gegenüber Kreditinstituten, Verbindlichkeiten aus Lieferungen und Leistungen, Verbindlichkeiten gegenüber Gesellschaften und sonstige Verbindlichkeiten sind mit Erfüllungsbeträgen ausgewiesen. C. Erläuterungen zur Bilanz Eine Rückstellung für etwaige drohende Verluste war nach den Erkenntnissen zum Zeitpunkt der Bilanzerstellung nicht zu bilden. D. Sonstiges Aufgrund des Verlustes von - € 48.239,07 sowie des nicht durch Eigenkapital gedeckten Fehlbetrages von € 191.132,78 (§ 268 Abs. 3 HGB) besteht eine sog. Unterbilanz. Wir können an dieser Stelle das Vorliegen eines Insolvenzgrundes nicht ausschließen. Dies führt dazu, dass Sie ggf. umgehend einen Insolvenzantrag stellen müssen. Wir raten außerdem dringend an, diesen möglichen Insolvenzgrund zu widerlegen. Bspw. durch eine von einem Berufskollegen erstellte (ggf. positive) Fortführungsprognose.
