Anhang für das Geschäftsjahr 2022A. Allgemeine Erläuterungen Die APM Terminals Wilhelmshaven GmbH hat ihren Sitz in Hamburg und ist eingetragen in das Handelsregister beim Amtsgericht Hamburg (HR B Reg.Nr. HRB 151948). Der Jahresabschluss zum 31. Dezember 2022 ist nach den Rechnungslegungsvorschriften des Handelsgesetzbuches und des GmbH-Gesetzes aufgestellt. Die Gesellschaft ist eine kleine Kapitalgesellschaft i. S. d. § 267 Abs. 1 HGB. Die Gesellschaft nimmt die größenabhängigen Erleichterungen des § 288 Abs. 1 HGB teilweise in Anspruch. Die Gesellschaft gliedert ihre Gewinn- und Verlustrechnung nach dem Gesamtkostenverfahren. B. Bilanzierungs- und Bewertungsmethoden Die Finanzanlagen werden zu Anschaffungskosten bzw. zum niedrigeren beizulegenden Wert bilanziert. Forderungen und sonstige Vermögensgegenstände werden mit dem Nennwert bzw. mit dem am Bilanzstichtag beizulegenden niedrigeren Wert angesetzt. Die sonstigen Rückstellungen werden nach vernünftiger kaufmännischer Beurteilung in Höhe des notwendigen Erfüllungsbetrages passiviert und berücksichtigen alle erkennbaren Risiken und ungewissen Verpflichtungen. Die Bewertung der Verbindlichkeiten erfolgt zum Erfüllungsbetrag. C. Erläuterungen zur Bilanz Die Beteiligung an der Eurogate Container Terminal Wilhelmshaven GmbH & Co. KG, Wilhelmshaven, wurde im Geschäftsjahr 2014 um 21,8 Mio. EUR wertberichtigt. Im Jahr 2019 ist die Beteiligung um weitere 49,2 Mio EUR wertberichtigt, und in 2020 wurde die Beteiligung komplett abgeschrieben. In 2022 wurde die Beteiligung veräussert. Die Forderungen gegen verbundene Unternehmen sind innerhalb eines Jahres fällig und bestehen aus der Forderung aus einem Darlehen und dem Inhousebanking. Das Gezeichnete Kapital beträgt 25.000,00 EUR. Die voll eingezahlten Geschäftsanteile der APM Terminals Wilhelmshaven GmbH, Hamburg, werden zu 100,00 % von der APM Terminals Deutschland Holding GmbH, Hamburg, gehalten. In dem Jahr 2022 erfolgte eine Zuführungen in die Kapitalrücklage mit dem Gesellschafterbeschluss vom 08. Dezember 2022 in Höhe von 30 Mio EUR. Die Verbindlichkeiten gegenüber verbundenen Unternehmen resultieren in Höhe von 2,8 Mio. EUR aus aus dem bestehenden Ergebnisabführungsvertrag und haben eine Restleufzeit von bis zu einem Jahr. D. Erläuterungen zur Gewinn- und Verlustrechnung Der Jahresüberschuss wird gemäß bestehendem Ergebnisabführungsvertrag in voller Höhe als Verbindlichkeit gegenüber der APM Terminals Deutschland Holding, Hamburg, ausgewiesen. E. Sonstige Angaben Die A.P. Møller-Maersk A/S, Kopenhagen/Dänemark, oberstes Mutterunternehmen der Gesellschaft stellt einen Konzernabschluss für den kleinsten und größten Kreis der Konzernunternehmen auf, in den der Jahresabschluss der APM Terminals Wilhelmshaven GmbH, Hamburg, einbezogen wird. Der Konzernabschluss wird von der A.P. Møller-Maersk A/S in Dänemark bei der Erhvervs-og Selskabsstyrelsen (Gewerbe- und Gesellschaftsamt) veröffentlicht.
