A. RECHTLICHE VERHÄLTNISSE Die Gesellschaft wurde durch notariell beurkundeten Gesellschaftsvertrag vom 27. März 1992 gegründet. Sie wird im Handelsregister des Amtsgerichts Hamburg unter HRB 50340 geführt. Die Firma der Gesellschaft lautet MegaNet Computersysteme GmbH. Sitz der Gesellschaft ist Hamburg. Gegenstand der Gesellschaft ist der Einzel- und Großhandel mit und die Fertigung, Installation und Entwicklung von Computern, insbesondere von Netzwerken und Computersoftware sowie alle damit im Zusammenhang stehenden Tätigkeiten und Geschäfte. Geschäftsjahr ist das Kalenderjahr. Das Stammkapital beträgt EUR 25.564,59 (DM 50.000,-) und ist voll eingezahlt. Alleinvertretungsberechtigte Geschäftsführer sind Herr Andreas Kögel, Hamburg, und seit dem 07.07.1998 Herr Torsten Schiffl, Hamburg. Die Geschäftsführer sind von den Beschränkungen des § 181 BGB befreit. B. ERLÄUTERUNGEN ZUM JAHRESABSCHLUSS Jahresabschluß, Buchführung, Belegwesen Die Buchführung wird im eigenen Hause über EDV geführt. Die Buchführung und Belegablage sind übersichtlich und geordnet. Die Kontierung der Belege wird durch die Gesellschaft vorgenommen. Die Gesellschaft erfüllt die Größenmerkmale einer kleinen Kapitalgesellschaft gemäß § 267 Abs. 1 HGB. Der Jahresabschluß wurde nach den gesetzlichen Vorschriften der §§ 242 bis 256 und §§ 264 bis 288 HGB sowie der ergänzenden Vorschriften des GmbH-Gesetzes erstellt.
