Der Aufsichtsrat hat den Vorstand während des Geschäftsjahres 2023 sowohl in seinen Leistungsmaßnahmen als auch in wesentlichen Einzelmaßnahmen überwacht und von seinem gesetzlichen Einsicht- und Prüfungsrechten sowie von seinen Zustimmungsvorbehalten Gebrauch gemacht. During the financial year 2023, the Supervisory Board supervised the Management Board both with respect to its performance measures and important selected measures and exercised its statutory rights of review and inspection as well as its consent rights.
Der Aufsichtsrat hat im Berichtszeitraum mehrere Sitzungen abgehalten. During the reporting period, the Supervisory Board held several meetings.
Im Rahmen seiner Überwachungstätigkeit hat der Aufsichtsrat sowohl innerhalb als auch außerhalb der regelmäßigen Sitzungen vom Vorstand ausführlich über dessen Geschäftspolitik, grundsätzliche Fragen der Geschäftsführung und der Unternehmensplanung sowie notwendige Investitionsmaßnahmen unterrichten lassen. Der Aufsichtsrat hat sich zudem in regelmäßigen Abständen über die finanzielle Lage des Unternehmens informieren lassen. In the course of its supervisory activities, the Supervisory Board, both during and outside its regular meetings, was briefed in detail by the Management Board on the latter's business policy and basic questions of company management and corporate planning as well as on the necessary investment measures. In addition, the Supervisory Board was briefed on the financial situation of the company on a regular basis.
Den Jahresabschluss für das zum 31. Dezember 2023 endende Geschäftsjahr und den Lagebericht für das Geschäftsjahr 2023 hat sich der Aufsichtsrat vor seiner Beschlussfassung vorlegen lassen. Zudem hat der Aufsichtsrat den Prüfungsbericht des Abschlussprüfers zum Jahresabschluss für das am 31. Dezember 2023 endende Geschäftsjahr und zum Lagebericht für das Geschäftsjahr 2023 erhalten. Der Aufsichtsrat hat Jahresabschluss und Lagebericht eingehend erörtert und auf Rechtsmäßigkeit, Ordnungsmäßigkeit und Zweckmäßigkeit geprüft. Prior to adopting its resolution, the Supervisory Board had the annual accounts for the fiscal year which ended on 31 December 2023 and the management report for the financial year 2023 presented to it. Einwendungen hatte der Aufsichtsrat nach seiner Prüfung keine. Der Aufsichtsrat schließt sich den Ergebnissen der Prüfung des Abschlussprüfers und dem uneingeschränkten Bestätigungsvermerk an. Der Aufsichtsrat hat den Jahresabschluss 2023 am heutigen Tage gebilligt. The Supervisory Board had no objections after its review. The supervisory board concurs with the results of the audit of the annual accounts by the auditor and the unqualified audit opinion. The Supervisory Board approved the annual accounts 2023 on this day.
Im Falle etwaiger Abweichungen zwischen der deutschen und englischen Fassung dieser Niederschrift ist die deutsche Fassung maßgeblich. In the event of any inconsistency between the German and the English version of these minutes, the German version shall prevail.
