Anhangfür das Rumpfwirtschaftsjahr vom 01.07.2011 bis zum 19.11.2011A. Bilanzierungs- und BewertungsmethodenDie Bilanzierungsmethoden entsprechen den Vorschriften des Handelsgesetzbuches für Kapitalgesellschaften (§§ 264 ff. HGB). Die Forderungen und sonstigen Vermögensgegenstände betreffen Forderungen, die zum Nominalbetrag bewertet sind. Das Guthaben bei Kreditinstituten ist mit dem Nominalbetrag ausgewiesen. Die Position Rückstellungen enthält lediglich Rückstellungen für ungewisse Verbindlichkeiten. Die Verbindlichkeiten sind mit ihrem Rückzahlungsbetrag angesetzt. Fremdwährungsverbindlichkeiten bestanden zum Bilanzstichtag nicht. B. Angaben zu Positionen der Bilanz1. Umlaufvermögen Der Banksaldo ist durch entsprechenden Kontoauszug nachgewiesen. Die Sonstigen Vermögensgegenstände betreffen Forderungen gegenüber dem Finanzamt. Dabei handelt es sich um Umsatzsteuerguthaben, welche aus den Umsatzsteuerjahreserklärungen 2011 und 2012 resultieren. 2. Eigenkapital Das gezeichnete Kapital in Höhe von € 25.000,00 ist voll einbezahlt. Die Stammeinlagen hält zu 100 % die Adhesives Research Ltd., Irland. 3. Rückstellungen Die Rückstellungen betreffen mit € 9.450,00 den Verwaltungsbereich (externe Jahresabschlusskosten und Buchhaltungskosten). C. Sonstige PflichtangabenDie Anteile der Gesellschaft werden zu 100 % von der Adhesives Research Ltd., Irland gehalten. Die Gesellschaft wird in den Konzernabschluss der Adhesives Research Inc., USA miteinbezogen. Die Gesellschaft befindet sich seit dem 20.11.2011 in Liquidation. Die Eintragung ins Handelsregister erfolgte am 18.01.2012. Als Liquidator der Gesellschaft wurde Herr Ciaran Gloster bestellt. Der Jahresabschluss wurde unter der Annahme des Fortbestandes der Gesellschaft aufgestellt, obwohl die Gesellschaft bilanziell überschuldet ist. Aufgrund der Rangrücktrittserklärung der Mutter treten jedoch die Rechtsfolgen des § 64 Abs. 1 S. 2 GmbHG nicht ein.
