Jahresabschluss zum 31. Dezember 2012

Gesellschafterbeschluss

An der im Handelsregister des Amtsgerichts Chemnitz unter HRB 519 eingetragenen LIGMATECH Automationssysteme GmbH mit Sitz in Lichtenberg und einem Stammkapital in Hohe von EUR 6.650,000,00 ist die HOMAG Holzbearbeitungssysteme GmbH als alleinige Gesellschafterin beteiligt.

Unter Verzicht auf alle Fristen und Formen der Einberufung und Ankündigung fasst die HOMAG Holzbearbeitungssysteme GmbH als alleinige Gesellschafterin der LIGMATECH Automationssysteme GmbH folgende Beschlüsse:

1.	Der Jahresabschluss zum 31.12.2012 wird festgestellt.
2.	Den Geschäftsführern wird für das Geschäftsjahr 2012 Entlastung erteilt.
3.	Für das Geschäftsjahr 01.01.2013 bis 31.12.2013 wird als Abschlussprüfer die Ernst & Young GmbH Wirtschaftsprüfungsgesellschaft, Stuttgart bestellt.
4.	Aus dem Bilanzgewinn von EUR 1.188.940,75 werden EUR 1.000.000,00 ausgeschüt¬tet, der verbleibende Betrag von EUR 188.940,75 wird auf neue Rechnung vorgetragen. Als Tag der Auszahlung für die Ausschüttung von EUR 1.000.000,00 wird der 18. Okto¬ber 2013 festgelegt
