Allgemeine Angaben

Der Jahresabschluss der Gridcore GmbH wurde auf der Grundlage der Rechnungslegungsvorschriften des Handelsgesetzbuchs aufgestellt.

Ergänzend zu diesen Vorschriften waren die Regelungen des GmbH-Gesetzes zu beachten.

Für die Gewinn- und Verlustrechnung wurde das Gesamtkostenverfahren gewählt.

Nach den in § 267 HGB angegebenen Größenklassen ist die Gesellschaft eine kleine Kapitalgesellschaft.

Bilanzierungs- und Bewertungsgrundsätze

Forderungen und sonstige Vermögensgegenstände wurden zu Nominalwerten angesetzt.

Die Rückstellungen enthalten alle erkannbaren Risiken und Verpflichtungen und wurden in Höhe der zu erwartenden Aufwendungen gebildet.

Verbindlichkeiten wurden zum Erfüllungsbetrag angesetzt.

Nicht durch Eigenkapital gedeckter Fehlbetrag

Der nicht durch Eigenkapital gedeckte Fehlbetrag beträgt EUR 113.292,65. Der Gesellschafter hat eine Rangrücktrittsvereinbarung für die bestehenden Forderungen mit dem Inhalt abgegeben, dass die Forderungen, soweit und solange dies zur Vermeidung der Überschuldung erforderlich ist, hinter allen Forderungen der gegenwärtigen und künftigen Gläubiger im Range zurücktreten.

Der Gesellschafter wird seine Ansprüche aus den o.g. Forderungen gegenüber der Gesellschaft nicht geltend machen, sofern und soweit sich durch deren Bestand für die Gridcore GmbH ein Insolvenzgrund ergeben würde. Aufgrund der derzeitigen Unternehmenslage hinsichtlich Liquidität und Umsätze gehen wir von einer positiven Fortführungsprognose aus.
