Anhang für das Geschäftsjahr 2009I. Allgemeine Grundlagen Der Jahresabschluss der TradeCross AG i.L., München, für das Geschäftsjahr vom 1. Dezember 2008 bis 30. November 2009 (Geschäftsjahr 2009) wurde nach den Vorschriften des Handelsgesetzbuches und des Aktiengesetzes aufgestellt. Die Aufstellung erfolgte bis zum 30. November 2008 unter Beachtung der Vorschriften über die Rechnungslegung der Kreditinstitute und Finanzdienstleistungsinstitute (RechKredV) vom 11. Dezember 2008. Mit Schreiben vom 24. September 2008 an die Bundesanstalt für Finanzdienstleistungsaufsicht hat die TradeCross AG i.L. die Erlaubnis nach § 32 KWG zurückgegeben. Für das Geschäftsjahr 2009 ist die RechKredV nicht mehr einschlägig. Die Vorjahreszahlen wurden entsprechend angepasst. Die Vorjahreszahlen beziehen sich auf den Zeitraum vom 1. Januar bis 30. November 2008 und sind daher nur bedingt vergleichbar. Die Gewinn- und Verlustrechnung wurde unter Anwendung des Gesamtkostenverfahrens gemäß § 275 Abs. 2 HGB aufgestellt. Die TradeCross AG. i.L. ist eine kleine Kapitalgesellschaft im Sinne des § 267 Abs. 1 HGB. Von den größenabhängigen Erleichterungen gemäß §§ 266 Abs. 1, 274a, 288 und 326 HGB wurde Gebrauch gemacht. Die Hauptversammlung der TradeCross AG i.L. vom 1. Dezember 2008 hat die Auflösung der Gesellschaft beschlossen. II. Bilanzierung und Bewertung Die Aufstellung erfolgt unter Berücksichtigung des Liquidationsbeschluss vom 1. Dezember 2008. Die Forderungen und sonstige Vermögensgegenstände werden mit den zu erwartenden Liquidationserlösen angesetzt. Die Guthaben bei Kreditinstituten wurden zum Nominalwert angesetzt. III. Erläuterungen zum Kapital Eigenkapital Zum 30. November 2009 betrug das Grundkapital der Gesellschaft EUR 50.000,00 aufgeteilt in 50.000 auf den Namen lautende Stammaktien in Form von Stückaktien mit einem rechnerischen Wert von EUR 1,00 je Aktie und hat sich gegenüber dem Vorjahr nicht verändert. Die Kapitalrücklage beträgt EUR 60.165 und hat sich gegenüber dem Vorjahr nicht verändert. Genehmigtes Kapital Es liegt aktuell keine Ermächtigung für Genehmigtes Kapital vor. Bedingtes Kapital Es liegt aktuell keine Ermächtigung für Bedingtes Kapital vor. IV. Sonstige Angaben 1. Vorstand und Aufsichtsrat Durch Beschluss der Hauptversammlung vom 1. Dezember 2008 wurde Herr Markus Langfritz, Justiziar, München, zum Abwickler der Gesellschaft bestellt. Er vertritt die Gesellschaft allein. Der Aufsichtsrat besteht satzungsgemäß aus drei Mitgliedern. Er setzte sich im Berichtsjahr wie folgt zusammen:
Mit Datum vom 17. Mai 2010 legte das bisherige Aufsichtsratsmitglied Andreas Beyer sein Amt als Aufsichtsrat nieder. Auf der Hauptversammlung vom 16. Dezember 2010 wurden Herr Carsten Lang als Aufsichtsrat abberufen und Herr Markus Becker sowie Herr Christian Götz zu Aufsichtsräten gewählt. In der Aufsichtsratssitzung vom gleichen Tag wurde Herr Christian Götz zum stellvertretenden Vorsitzenden gewählt. 2. Mitarbeiter Die Gesellschaft beschäftigt keine Mitarbeiter. 3. Sonstige Angaben Die VEM Aktienbank AG, München, ist Alleinaktionärin der Gesellschaft. 4. Mutterunternehmen Der Abschluss der Gesellschaft wird in den Konzernabschluss der Computershare Limited, Abbotsford, Australien, einbezogen. Dieser kann im Internet unter www.computershare.com abgerufen werden. 5. Abhängigkeitsbericht Für das Geschäftsjahr hat die Gesellschaft gemäß § 312 AktG einen Bericht über die Beziehungen zu verbundenen Unternehmen (Abhängigkeitsbericht) erstellt. Die Schlusserklärung des Liquidators zum Bericht lautet: "Ich bestätige, dass die Gesellschaft nach den Umständen, die uns zu dem Zeitpunkt bekannt waren, in dem Rechtsgeschäfte vorgenommen wurden oder Maßnahmen getroffen oder unterlassen wurden, bei jedem Rechtsgeschäft eine angemessene Gegenleistung erhielt und dadurch, dass die Maßnahme getroffen oder unterlassen wurde, nicht benachteiligt wurde."
