Anhang für das Geschäftsjahr 2011Allgemeine AngabenDer Jahresabschluss für das Geschäftsjahr 2011 wurde nach den Vorschriften des Handelsgesetzbuches und des Gesetzes betreffend die Gesellschaften mit beschränkter Haftung aufgestellt. Die Gesellschaft ist eine kleine Kapitalgesellschaft im Sinne von § 267 HGB. Im Anhang wurden sämtliche größenabhängige Erleichterungen für kleine Kapitalgesellschaften gemäß § 288 HGB in Anspruch genommen. Bilanzierungs- und BewertungsmethodenDie Finanzanlagen werden zu Anschaffungskosten oder mit dem niedrigeren am Bilanzstichtag beizulegenden Wert angesetzt. Wertberichtigungen werden nur bei dauerhafter Wertminderung vorgenommen. Forderungen und sonstige Vermögensgegenstände werden grundsätzlich zum Nennwert bewertet und sind unter Berücksichtigung des erkennbaren Ausfallrisikos angesetzt. Die Rückstellungen berücksichtigen die nach vernünftiger kaufmännischer Beurteilung erkennbaren Risiken. Sie sind in Höhe des Erfüllungsbetrages angesetzt. Abzuzinsende Rückstellungen mit einer Restlaufzeit von mehr als einem Jahr bestehen derzeit nicht. Verbindlichkeiten sind mit dem Erfüllungsbetrag passiviert. Angaben und Erläuterungen zu den Posten der Bilanz(1) Anlagevermögen Die Beteiligung an der ITN Nanovation AG ist mit den Anschaffungskosten in Höhe von EUR 1.820.221,60 ausgewiesen. Eine außerplanmäßige Abschreibung auf den beizulegenden Wert in Höhe von EUR 1.341.243,35 wurde nicht vorgenommen. Der Aktienkurs der ITN Nanovation AG unterliegt starken Schwankungen. Der Kurs hat sich in 2012 teilweise erholt. Eine dauerhafte Wertminderung wird daher nicht angenommen. Von dem Abschreibungswahlrecht wird kein Gebrauch gemacht. (2) Verbindlichkeiten Die Verbindlichkeiten gegenüber verbundenen Unternehmen betreffen ein Gesellschafterdarlehen. Sämtliche Verbindlichkeiten haben eine Restlaufzeit von bis zu einem Jahr. Sonstige Angaben(3) ErgebnisverwendungsvorschlagDie Geschäftsführung schlägt vor, den Verlustvortrag 2011 gemeinsam mit dem Jahresergebnis 2011 auf neue Rechnung vorzutragen. (4) Organe der Gesellschaft Geschäftsführer im Geschäftsjahr 2011 war Herr Marco Beckmann. Die Gesellschaft ist mit EUR 219.828,56 bilanziell überschuldet. Die Gesellschafterin Nanostart AG hat für ihre Gesellschafterdarlehen, die am Bilanzstichtag mit EUR 3.535.831,30 valutierten, eine qualifizierte Rangrücktrittserklärung anteilig abgegeben.
