- nachstehend "Gesellschaft" genannt - - hereinafter referred to as "Company" -
ist die registered with the commercial register of Local Court of Münster under HRB 14977 is
Allegion German Holding I GmbH
mit dem Sitz in/with statutory seat in Stuttgart
- nachstehend "Alleingesellschafter" genannt- - hereinafter referred to as "Sole Shareholder" -
II.
Der Alleingesellschafter verzichtet hiermit in Bezug auf nachstehende Beschlussfassung auf alle nach Gesetz oder Satzung bestehenden, die Einberufung oder Abhaltung einer Gesellschafterversammlung sowie die Beschlussfassung der Gesellschafter der Gesellschaft betreffenden Formen und Fristen. With regard to below-stated passing of resolutions, the Sole Shareholder hereby waives all requirements as to form and notice pursuant to law or under the Articles of Association regarding the invitation to and the holding of a shareholders' meeting and the procedures for the passing of resolutions of the shareholders of the Company.
Unter Verzicht auf alle durch Gesetz oder Satzung vorgeschriebenen Formen und Fristen fasst der Alleingesellschafter Waiving all requirements as to form and notice pursuant to law or under the Articles of Association, the Sole Shareholder

1. Feststellung des Jahresabschlusses 1. Approval of the financial statements
Der Jahresabschluss der Gesellschaft zum 31. Dezember 2020 in der aus der Anlage ersichtlichen Fassung wird hiermit festgestellt. Hieraus ergibt sich ein Ergebnis vor sonstigen Steuern und vor Verlustübernahme i.H.v. EUR 1.311.140,45 (lediglich zum Vergleich, 2019: EUR 652.128,97). The financial statements of the Company as at 31 December 2020 in the version included in Annex to these minutes are herewith approved. This reflects a result before other taxes and loss transfer of EUR 1.311.140,45 (solely for comparison, 2019: EUR 652,128.97).
2. Verwendung des Jahresergebnisses 2. Attribution of the annual result
Der in 2020 entstandene Gewinn von € - 1.311.140,45 wird gemäß dem bestehenden Ergebnisabführungsvertrag von der Allegion German Holding I GmbH, Stuttgart übernommen. The annual result of the business year 2020 of € -1.311.140,45 will be transferred in accordance to the existing profit and loss agreement to the shareholder Allegion German Holding I GmbH, Stuttgart.
3. Entlastung der Geschäftsführer 3. Ratification of the acts of the managing directors
Den Geschäftsführern der Gesellschaft wird für das Geschäftsjahr vom 1. Januar 2020 bis 31. Dezember 2020 Entlastung erteilt. Discharge is herewith granted to the managing directors of the Company for the financial year from 1 January 2020 until 31 December 2020.
4. Wirtschaftlicher Berechtigter 4. Ultimate Beneficial Ownership
Der Alleingesellschafter bestätigt, dass zum Unterzeichnungszeitpunkt und gemäß der anwendbaren Vorschriften bezüglich der wirtschaftlichen Berechtigten, die Gesellschaft Herrn John Derek Stanley als fiktive wirtschaftlich Berechtigte identifiziert hat. Der Alleingesellschafter bestätigt hiermit, dass die Gesellschaft die interne Ermittlung der wirtschaftlichen Berechtigten nach deutschem Recht durchgeführt hat. The Sole Shareholder resolves that, at the time of execution and under applicable legislation with regard to Beneficial Owners, the Company has identified John Derek Stanley as the Senior Managing Official. The Sole Shareholder hereby confirms that the Company has internally assessed the Ultimate Beneficial Owners under the law of Germany.
5. Nutzung elektronischer Unterzeichnung 5. Use of electronic signatures
Nach genereller Bestätigung durch die Wirtschaftsprüfer der Allegion Gruppe, bestätigt der Alleingesellschafter, dass Gesellschafterbeschlüsse der Gesellschaft grundsätzlich, soweit nicht spezielle Formerfordernisse nach zwingendem Recht vorliegen, durch elektronische Mittel, wie z.B. DocuSign, unterzeichnet werden können. After general confirmation by Allegion group's auditors, the Sole Shareholder confirms in principal, unless there are specific formal requirements by mandatory law, execution of shareholder resolutions of the Company can generally be executed by electronic means such as DocuSign.
Weitere Beschlüsse werden nicht gefasst. No further resolutions are passed.
Im Falle von Widersprüchen zwischen dem deutschen und dem englischen Wortlaut dieser Niederschrift hat der deutsche Text Vorrang. In case of discrepancies between the German and English wording of these minutes, the German version shall prevail.
