Anhang zum Jahresabschluss per 31. Dezember 2009Grundlagen und Methoden Der Jahresabschluss der Gesellschaft wird nach handelsrechtlichen Rechnungslegungsvorschriften erstellt Von den für kleine Kapitalgesellschaften geltenden Erleichterungen gem. § 288 HGB wird Gebrauch gemacht. Der Jahresabschluss der Gesellschaft wird in den Konzernabschluss der VIGOR Beteiligungsgesellschaft mbH, Hamburg, einbezogen. Der Konzernabschluss wird beim elektronischen Bundesanzeiger hinterlegt. Bilanzierung und Bewertung Grundlage fiir die Aufstellung des Jahresabschlusses waren die Bilanzierungs- und Bewertungsvorschriften des HGB. Forderungen und Verbindlichkeiten sind zum Nennwert bzw. zum Rückzahlungsbetrag angesetzt. Die übrigen Vermögensgegenstände werden mit den Anschaffungskosten bzw. dem niedrigeren beizulegenden Wert bilanziert. Rückstellungen wurden nach den Grundsätzen vorsichtiger kaufmännischer Beurteilung in Höhe der ungewissen Verbindlichkeiten gebildet. Vermögensgegenstände und Schulden in Fremdwährung Vermögensgegenstände und Schulden, die auf Fremdwährung lauten, bestanden zum Bilanzstichtag nicht. Gezeichnetes Kapital Das Grundkapital der Gesellschaft beträgt EUR 1.000.000,00 und ist eingeteilt in 1.000.000 auf den Inhaber lautende Stückaktien. Es wird in voller Höhe gehalten von der Atalanta Beteiligungsgesellschaft mbH & CO KG. Mitarbeiter Die Gesellschaft beschäftigt keine Mitarbeiter. Organe Aufsichtsrat
Vorstand
Der Vorstand erhielt keinerlei Bezüge. Vorschüsse und Kredite an Organmitglieder wurden nicht gewährt. Haftungsverhältnisse zu Gunsten von Organmitgliedern bestanden nicht. Andere finanzielle Verpflichtungen Haftungsverhältnisse, die aus der Bilanz nicht ersichtlich sind, bestanden zum Jahresende nicht. Angaben zu verbundenen Unternehmen Forderungen gegenüber verbundenen Unternehmen bestanden zum Bilanzstichtag in Höhe von 900.000,00. Es handelt sich hier um ein Darlehen an die Atalanta Beteiligungsgesellschaft mbH & CO KG. Verbindlichkeiten gegenüber verbundenen Unternehmen bestanden zum Bilanzstichtag nicht. Die Gesellschaft hat keine nach § 312 AktG berichtspflichtigen Rechtsgeschäfte getätigt. Irgendwelche Maßnahmen auf Veranlassung oder im Interesse der Atalanta Beteiligungsgesellschaft mbH & CO KG oder der mit ihr verbundenen Unternehmen sind im Geschäftsjahr weder getroffen noch unterlassen worden. Restlaufzeiten Forderungen einer Restlaufzeit von mehr als einem Jahr bestanden zum Jahresende nicht. Jahresergebnis Der Jahresabschluss weist unter Berücksichtigung eines Gewinnvortrages aus dem Vorjahr in Höhe von EUR 55.792,88 und der Einstellung in die gesetzliche Rücklage in Höhe von EUR 770,00 einen Bilanzgewinn in Höhe von EUR 70.392,65 aus. Der Gesellschafterversammlung wird vorgeschlagen, den Jahresüberschuss auf das nächste Jahr vorzutragen.
