Unter Verzicht auf alle gesetzlichen und gesellschaftsvertraglichen Form- und Fristerfordernisse halten wir eine außerordentliche Gesellschafterversammlung ab und beschließen mit allen Stimmen was folgt: Waiving all formal and notice requirements arising out of the statutes and the bylaws of the Company we hold an extraordinary shareholder meeting and hereby unanimously resolve the following:
1. Der Geschäftsführer hat der Gesellschaft den Jahresabschluss für das Geschäftsjahr 2022 vorgelegt. Der Jahresabschluss wird somit festgestellt. 1. The Managing Director has presented the Annual Accounts for the financial year 2022 to the Company. The Annual Account is herewith approved.
2. Der im Jahresabschluss ausgewiesene Verlust von EUR 4.878,00 wird auf neue Rechnung vorgetragen. 2. The net loss of EUR 4,878.00 shall be carried forward to new accounts.
Weitere Beschlüsse werden nicht gefasst. Further resolutions are not adopted.
Bei einer Abweichung der deutschen von der englischen Version dieser Niederschrift gilt die deutsche Fassung. Should there be any disparity between the German and the English version of these minutes then the German version shall prevail.
