Anhang zum 31.12.2015der simfy AGA. ALLGEMEINE ANGABENDer vorliegende Jahresabschluss ist nach den Vorschriften des Dritten Buches des HGB (§§ 238 ff. HGB) unter Beachtung der ergänzenden Bestimmungen für Kapitalgesellschaften (§§ 264ff. HGB) und des AktG aufgestellt worden. Die simfy AG im Berichtsjahr ihren Sitz in Berlin und ist unter der Registernummer HRB 153198 beim Amtsgericht Berlin-Charlottenburg eingetragen. Die simfy AG erfüllt gemäß § 267 Abs. 1 HGB die Größenkriterien für eine kleine Kapitalgesellschaft. Sie hat von den größenabhängigen Erleichterungen bei der Erstellung des Anhangs teilweise Gebrauch gemacht. Die Gesellschaft beabsichtigt, von den für kleine Gesellschaften eingeräumten Erleichterungen bei der Offenlegung gemäß § 326 HGB Gebrauch zu machen. Die Bilanz entspricht grundsätzlich dem gesetzlichen Gliederungsschema (§ 266 Abs. 2 und 3 HGB); für die Gewinn- und Verlustrechnung wurde das Gesamtkostenverfahren (§ 275 Abs. 2 HGB) angewandt. Die Bilanzierung und Bewertung erfolgt nach handelsrechtlichen Grundsätzen. Im Jahresabschluss zum 31.12.2015 haben sich keine Bilanzierungs- und Bewertungsänderungen gegenüber dem Vorjahr ergeben. B. BILANZIERUNGS- UND BEWERTUNGSGRUNDSÄTZEAnlagevermögen Die immateriellen Vermögensgegenstände werden zu Anschaffungskosten, vermindert um planmäßige Abschreibungen, bewertet. Das Sachanlagenvermögen wird zu Anschaffungskosten, vermindert um planmäßige Abschreibungen, bewertet. Abschreibungen erfolgen linear und bemessen sich nach der betriebsgewöhnlichen Nutzungsdauer. Die Nutzungsdauern gliedern sich wie folgt: Technische Anlagen 10 Jahre Büroeinrichtung 5 Jahre Sonstige Betriebs- und Geschäftsausstattung 2 - 5 Jahre Forderungen und Sonstige Vermögensgenstände Forderungen und Sonstige Vermögensgegenstände werden zum Nennwert bzw. mit dem am Bilanzstichtag niedrigeren beizulegenden Wert angesetzt. Aktiver Rechnungsabgrenzungsposten Als aktiver Rechnungsabgrenzungsposten werden Ausgaben vor dem Bilanzstichtag ausgewiesen, soweit sie Aufwand für eine bestimmte Zeit nach diesem Tag darstellen. Rückstellungen Die Rückstellungen sind dem Grunde und der Höhe nach gemäß dem nach vernünftiger kaufmännischer Beurteilung notwendigen Erfüllungsbetrages bemessen und erfassen alle erkennbaren Risiken und ungewissen Verbindlichkeiten in angemessenem Umfang. Verbindlichkeiten Die Verbindlichkeiten sind zum Erfüllungsbetrag bilanziert. Zinsen wurden periodengerecht abgegrenzt. C. ANGABEN UND ERLÄUTERUNGEN ZUM JAHRESABSCHLUSSForderungen und sonstige Vermögensgegenstände Die Forderungen und sonstige Vermögensgegenstände haben Laufzeiten von unter einem Jahr. Eigenkapital Das Grundkapital beträgt EUR 347.213,00. Es ist eingeteilt in 347.213,00 vinkulierten nennwertlosen Stückaktien. Jede Stückaktie entspricht rechnerisch einem Euro vom gezeichneten Kapital. Sonstige Rückstellungen In den Sonstigen Rückstellungen sind im Wesentlichen Rückstellungen für Gebühren und für Personal enthalten. Verbindlichkeiten Die gesamten Verbindlichkeiten haben eine vertraglich Restlaufzeit von bis zu einem Jahr. D. SONSTIGE ANGABENVorstand Herr Alexander Herbst ist im Berichtszeitraum alleinvertretungsberechtigter Vorstand. Aufsichtsrat Der Aufsichtsrat setzt sich aus folgenden Mitgliedern zusammen: • Roland Weigl (Vorsitzender) • Jörg Binnenbrücker • Dr. Nils Madeja Haftungsverhältnisse Es bestehen keine Haftungsverhältnisse gemäß § 251 HGB 1. V. m. § 268 Abs. 7 HGB. Ergebnisverwendungsvorschlag Der Aufsichtsrat hat den Jahresabschluss gem. § 171 AktG festgestellt. Der Bilanzverlust wird auf neue Rechnung vorgetragen. sonstige Berichtsbestandteile
