Anhang für das Geschäftsjahr 20191. Allgemeine Angaben zum Jahresabschluss Die Gesellschaft wurde unter der Firma Elisabeth-Service GmbH durch Gesellschaftsvertrag vom 29. September 2000 errichtet und ist am 20. November 2000 unter der Nummer HRB 14475 in das Handelsregister beim Amtsgericht Essen eingetragen worden. Mit Vertrag vom 9. Juli 2009 wurde die St. Marien-Service GmbH, Mülheim, mit der St. Elisabeth-Service GmbH, Essen, als Gesamtrechtsnachfolgerin mit Wirkung vom 1. Januar 2009 verschmolzen. Der Name der Gesellschaft wurde mit Beschluss vom 14. Oktober 2010 in Contilia-Service GmbH, Essen, geändert und mit Datum vom 19. November 2010 ins Handelsregister eingetragen. Gegenstand des Unternehmens ist die Erbringung sowie Organisation von Dienst- und Service-Leistungen Die Contilia-Service GmbH ist eine kleine Kapitalgesellschaft im Sinne des § 267 Abs. 1 HGB. Der Jahresabschluss zum 31. Dezember 2019 wurde unter Beachtung der gesetzlichen Vorschriften der §§ 238 ff. HGB sowie der ergänzenden Bestimmungen der §§ 264 ff. HGB für Kapitalgesellschaften aufgestellt. Die Gliederung der Bilanz entspricht § 266 HGB. Mit Betriebsübertragungsvertrag vom 13. Dezember 2019 ist das Anlage- und Vorratsvermögen sowie das Personal der Contilia Service, auf die per Se Dienstleistungen GmbH zum 1. Januar 2020 übertragen worden. Zudem erfolgte die Beendigung sämtlicher Leistungsverträge mit den konzernverbundenen Kunden der Gesellschaft zum 31 Dezember 2019 und deren Neubegründung mit der per Se Dienstleistungen GmbH. Die Gesellschaft führt daher ab 1. Januar 2020 kein operatives Geschäft mehr aus. Eine Liquidierung der Gesellschaft erfolgte nicht. Der Jahresabschluss wurde unter der Annahme der Unternehmensfortführung aufgestellt. 2. Angaben zu den Bilanzierungs- und Bewertungsmethoden Die der Bilanz zum 31. Dezember 2019 zugrunde liegenden Bilanzierungs- und Bewertungsgrundsätze wurden gegenüber der Vorjahresbilanz nicht geändert. Zum 31. Dezember 2019 erfolgte eine Umgliederung der Restbuchwerte der Vermögensgegenstände des Anlagevermögens in die sonstigen Vermögensgegenstände, da diese von der Gesellschaft nicht mehr langfristig genutzt werden. Die Vermögensgegenstände des Umlaufvermögens sowie der Rechnungsabgrenzungsposten sind mit ihren Nominalwerten angesetzt. Wertberichtigungen wurden nicht gebildet. Der Kassenbestand und das Guthaben bei Kreditinstituten werden ebenfalls zum Nominalwert ausgewiesen. Das gezeichnete Kapital in Höhe von 60.000,00 EUR wurde in Höhe von 25.000,00 EUR bar eingezahlt. Zum 1. Januar 2005 haben die Cleaners GmbH & Co. KG - Klinik Service -, Oberhausen, und die Cleaners GmbH & Co. KG Hauswirtschafts- und Hygiene-Dienste, Oberhausen, die im Rahmen der Kapitalerhöhung neu ausgegebenen Anteile in Höhe von jeweils 2.500,00 EUR durch Einbringung der jeweiligen Teilbetriebe geleistet. Die Teilbetriebe betrafen die bisher als stille Gesellschafter zu erbringenden Dienstleistungen für die Elisabeth-Service GmbH. Dabei wurden mit den Teilbetrieben nur Wirtschaftsgüter des Anlagevermögens übertragen. Eine weitere Kapitalerhöhung um 30.000,00 EUR im Jahr 2009 erfolgte durch die Verschmelzung mit der St. Marien-Service GmbH, Mülheim an der Ruhr. Die Rückstellungen berücksichtigen alle erkennbaren Risiken und ungewissen Verpflichtungen, die das abgelaufene Geschäftsjahr betreffen. Sie sind mit dem nach vernünftiger kaufmännischer Beurteilung notwendigen Erfüllungsbetrag angesetzt. Die Verbindlichkeiten sind mit ihrem jeweiligen Erfüllungsbetrag angesetzt. Die Forderungen und die sonstigen Vermögensgegenstände bestehen sämtlich mit einer Restlaufzeit von bis zu einem Jahr. 3. Sonstige Angaben Konzernzugehörigkeit Mutterunternehmen ist die Contilia GmbH, Essen, in deren Konzernabschluss die Contilia-Service GmbH, Essen, einbezogen wird. Der Konzernabschluss wird durch Einreichung beim elektronischen Bundesanzeiger offengelegt. Mitarbeiter Im Jahre 2019 waren durchschnittlich 296 Mitarbeiter beschäftigt.
