Das bestehende Grundkapital der GEA Group Aktiengesellschaft ist durch eine Globalurkunde verbrieft, die bei der Clearstream Banking AG, Frankfurt am Main, hinterlegt ist. Die Auszahlung der Dividende erfolgt ab dem 6. Mai 2024 über die Clearstream Banking AG durch die Depotbanken. Zentrale Zahlstelle ist die Commerzbank AG, Frankfurt am Main.
Ein Teilbetrag von EUR 0,441406682 je dividendenberechtigter Stückaktie wird aus dem steuerlichen Einlagekonto im Sinne des § 27 Körperschaftsteuergesetz geleistet. Bei inländischen Aktionären unterliegt die Dividende aus dem steuerlichen Einlagekonto im Regelfall nicht der Besteuerung. Insoweit erfolgt die Auszahlung ohne Abzug von Kapitalertragsteuer und Solidaritätszuschlag.
Der verbleibende Teilbetrag der Dividende für das Geschäftsjahr 2023 von EUR 0,558593318 je dividendenberechtigter Stückaktie unterliegt gem. § 43 Abs. 1 S. 1 Nr. 1 Einkommensteuergesetz dem Steuerabzug (Kapitalertragsteuer und Solidaritätszuschlag sowie ggf. Kirchensteuer).
Bei unbeschränkt steuerpflichtigen Aktionären, die ihrer Depotbank eine sogenannte Nichtveranlagungsbescheinigung oder einen sogenannten Freistellungsauftrag mit ausreichendem Freistellungsvolumen vorgelegt haben, entfällt der Abzug der Kapitalertragsteuer sowie des Solidaritätszuschlags und ggf. Kirchensteuer.
Bei ausländischen Aktionären richtet sich die Versteuerung nach den steuerlichen Vorschriften des jeweiligen Ansässigkeitsstaates. Die einbehaltene Kapitalertragsteuer einschließlich des Solidaritätszuschlags kann sich auf Antrag nach Maßgabe bestehender Doppelbesteuerungsabkommen zwischen der Bundesrepublik Deutschland und dem betreffenden Staat ermäßigen.
