Anhang für das Geschäftsjahr 2010Nimbus Control GmbH, MünchenA. Allgemeine Angaben zum Jahresabschluss Die Gesellschaft ist eine kleine Kapitalgesellschaft im Sinne von § 267 Abs. 1 HGB. Sie hat von den größenabhängigen Erleichterungen gem. § 274 a HGB Gebrauch gemacht. Der Jahresabschluss der Gesellschaft ist nach den Rechnungslegungsvorschriften des Handelsgesetzbuches und des GmbH-Gesetzes aufgestellt. Zum Abschluss-stichtag wurden erstmalig die Vorschriften des Bilanzrechtsmodernisierungs-gesetzes (BilMoG) angewandt. Vorjahreszahlen wurden nicht angepasst. Die Bewertung wurde unter der Annahme der Fortführung der Unternehmens-tätigkeit vorgenommen. B. Angaben zu den Bilanzierungs- und Bewertungsmethoden Das Anlagevermögen wurde zu Anschaffungs- oder Herstellungskosten abzüglich planmäßiger Abschreibungen angesetzt. Die Abschreibungen erfolgten unter Zugrundelegung der betriebsgewöhnlichen Nutzungsdauern nach der linearen Methode. Die Vorräte wurden zu Anschaffungs- bzw. Herstellungskosten unter Beachtung des Niederstwertprinzips angesetzt. Der Ansatz der Forderungen und sonstigen Vermögensgegenstände erfolgte zu Nominalwerten. Die sonstigen Rückstellungen berücksichtigen alle bis zum Zeitpunkt der Bilanzerstellung erkennbaren Risiken und ungewissen Verpflichtungen. Sie sind mit dem nach vernünftiger kaufmännischer Beurteilung notwendigen Erfüllungsbetrag angesetzt. Die Rückstellungen werden unter Berücksichtigung künftiger Preis- und Kostenverhältnisse bilanziert. Rückstellungen mit einer Restlaufzeit von mehr als einem Jahr werden mit der Laufzeit entsprechenden durchschnittlichen Marktzinssätzen der vergangenen sieben Jahre abgezinst. Die Verbindlichkeiten wurden mit dem Erfüllungsbetrag passiviert. C. Sonstige Angaben I. Angaben zu den Organen der Gesellschaft Im Geschäftsjahr 2010 lag die Geschäftsführung in den Händen von - Herrn Kaufmann Evert van de Bospoort, Lochem/Niederlande, - Herrn Kaufmann Gerrit Jan Hubers, Amersfoort/Niederlande, - Herrn Kaufmann Eduard Theodorus van Dijk, De Bilt/Niederlande, - Herrn Kaufmann Jan-Pieter de Graaf, München. II. Angaben zum Konzernabschluss Der Jahresabschluss der Nimbus Control GmbH zum 31. Dezember 2010 wird in den Konzernabschluss der Nimbus Control B.V., Driebergseweg 17, 3708 JA Zeist/Niederlande, mit einbezogen. Der Konzernabschluss ist bei der Kamer van Koophandel in Utrecht offengelegt. III. Patronatserklärung Die Nimbus Control B.V., Driebergseweg 17, 3708 JA Zeist/Niederlande, hat eine sogenannte Patronatserklärung gegenüber der Nimbus Control GmbH abgegeben. Dadurch ist die bilanzielle Überschuldung in ausreichendem Maße abgedeckt.
