Sehr geehrte Vertreter der Gesellschafterversammlung, Dear Shareholder meeting representatives,
mit diesem Schreiben berichtet der Aufsichtsrat an die Gesellschafterversammlung gemäß §§ 52 Abs. 1 GmbHG in Verbindung mit 171 Abs. 2 AktG, insbesondere auch im Hinblick auf die Prüfung des Jahresabschlusses für das Wirtschaftsjahr bis zum 30. Juni 2023. with this letter, the Supervisory Board reports to the shareholders' meeting pursuant to sec. 52. para. (1) German Limited Liability Companies Act (GmbHG) in conjunction with sec. 171 para. (2) of the German Stock Corporation Act (AktG), in particular also with regard to its review of the annual financial statements for the financial year ending 30 June 2023.
Schwerpunkte der Aufsichtsratstätigkeit Key aspects of the Supervisory Board's activities
Der Aufsichtsrat führte seinen gesetzlichen und gesellschaftsvertraglichen Überwachungspflichten gegenüber der Geschäftsführung aus. Im Geschäftsjahr 2023/2024 hat Frau Herminie Simonetta ihr Amt als Vorsitzende und Mitglied des Aufsichtsrats niedergelegt. Herr Andy Kaddatz (Geschäftsführer der HFC Prestige Manufacturing Deutschland GmbH) wurde von der Gesellschafterversammlung als neues Mitglied des Aufsichtsrats und innerhalb des Aufsichtsrats als stellvertretender Vorsitzender gewählt. Die bisherige stellvertretende Vorsitzende Ilkan Eryagci wurde zur Vorsitzenden des Aufsichtsrats gewählt. In the 2023/2024 fiscal year, Mrs. Herminie Simonetta resigned from her position as Chairwoman and member of the Supervisory Board. Mr. Andy Kaddatz (managing director of HFC Prestige Manufacturing Deutschland GmbH) was elected by the shareholders' meeting as a new member of the Supervisory Board and elected as Deputy Chairman within the Supervisory Board. The previous Deputy Chairwoman Ilkan Eryagci was elected Chairwoman of the Supervisory Board.
Sitzungen des Aufsichtsrat/Ausschüsse Supervisory Board Meetings/Committees
Im Berichtsjahr fanden regelmäßige Sitzungen des Aufsichtsrats statt. Beschlüsse durch den Aufsichtsrat wurden in den Sitzungen gefasst. Alle Mitglieder des Aufsichtsrats haben an mehr als der Hälfte der Sitzungen des Aufsichtsrats teilgenommen. Interessenkonflikte traten nicht auf. In the reporting year, meetings of the Supervisory Board were held regularly. Resolutions by the Supervisory Board were adopted at the meetings. All members of the Supervisory Board attended more than half of the meetings of the Supervisory Board. No conflicts of interest arose.
Es wurden keine Ausschüsse gebildet. No committees have been formed.
Jahresabschluss Financial Statements
Den Jahresabschluss der Wella Germany GmbH zum 30.06.2023 sowie den Lagebericht der Wella Germany GmbH hat die Deloitte Wirtschaftsprüfungsgesellschaft geprüft und mit dem uneingeschränkten Bestätigungsvermerk versehen. Wir haben diese Unterlagen auch selbst geprüft. The financial statements of Wella Germany GmbH as of June 30th, 2023 have been audited by the Deloitte Wirtschaftsprüfungsgesellschaft, and have been given an unqualified audit opinion. We have also audited these documents ourselves.
Die Berichte der Deloitte Wirtschaftsprüfungsgesellschaft über die Prüfung des Jahresabschlusses lagen allen Mitgliedern des Aufsichtsrats vor und wurden in unserer Bilanzsitzung am 12. September 2024 in Gegenwart des Abschlussprüfers ausführlich behandelt. In dieser Sitzung hat die Geschäftsführung auch detailliert über Umfang, Schwerpunkte und Kosten der Abschlussprüfung berichtet. Wesentliche Schwächen des internen Kontrollsystems und Risikomanagementsystems wurden nicht berichtet. Wir hatten keine Einwendungen und stimmen dem Ergebnis der Abschlussprüfung zu. Der Aufsichtsrat hat den von der Geschäftsführung aufgestellten Jahresabschluss und den Konzernabschluss gebilligt. Die Billigung durch den Aufsichtsrat führt nicht zur Feststellung des Jahresabschlusses, welche durch die Gesellschafterversammlung erfolgt. The reports of the Deloitte Wirtschaftsprüfungsgesellschaft, on the audit of the annual financial statements were available to all members of the Supervisory Board and were discussed in detail at our financial statements meeting on September 12th, 2024, in the presence of the auditor. At this meeting, the management also reported in detail on the scope, focus and costs of the audit. No significant weaknesses in the internal control system and the risk management system were reported. We had no objections and concur with the results of the audit. The Supervisory Board approved the annual financial statements and consolidated financial statements prepared by the Executive Board. Approval by the Supervisory Board does not result in the adoption of the financial statements which shall be done by the shareholder's meeting.
