Der Jahresabschluss zum 31. Dezember 2010 ist nach den Vorschriften des Handelsgesetzbuches (HGB) und des Gesetzes betreffend die Gesellschaften mit beschränkter Haftung (GmbHG) erstellt worden. Die Gesellschaft ist eine kleine Kapitalgesellschaft im Sinne von § 267 Abs.1 HGB. Von den vorgesehenen größenabhängigen Erleichterungen nach § 264 Abs. 1 Satz 4 HGB, § 288 HGB sowie der §§ 325 ff HGB haben wir Gebrauch gemacht. Die Gliederung der Bilanz sowie der Gewinn- und Verlustrechnung entspricht den §§ 266 und 275 HGB. Die Gewinn- und Verlustrechnung wird nach dem Gesamtkostenverfahren aufgestellt. Die in Vorjahren angewandten Bewertungsgrundlagen konnten auch unter der Anwendung des Bilanzrechtsmodernisierungsgesetzes (BilMoG) beibehalten werden.
Bei der Bewertung wird von der Fortführung der Unternehmenstätigkeit ausgegangen. Die Forderungen und sonstigen Vermögensgegenstände werden zu Nominalwerten ausgewiesen. Die sonstigen Rückstellungen berücksichtigen alle erkennbaren Risiken und ungewissen Verbindlichkeiten. Sie sind in Höhe des nach vernünftiger kaufmännischer Beurteilung notwendigen Erfüllungsbetrages angesetzt.
3.1. Aktiva Die Forderungen und sonstigen Vermögensgegenstände beinhalten Forderungen gegenüber der verbundenen Unternehmen in Höhe von TEUR 46 (Vorjahr TEUR 57) und bestehen gegenüber der Eurotunnel S.E., Brüssel, Belgien. Sämtliche Forderunge n sind innerhalb eines Jahres fällig. 3.2. Passiva Das voll eingezahlte Stammkapital beträgt EUR 25.000,00. 3.3. Gewinn- und Verlustrechnung Erläuterungen zur Gewinn- und Verlustrechnung sind nicht erforderlich.
4.1. Angaben über Unternehmensbeziehungen Die Eurotunnel Plus GmbH, Hamburg ist ein 100%-iges Tochterunternehmen der Eurotunnel Plus Distribution S.A.S., Coquelles, Frankreich. Der Jahresabschluss der Gesellschaft wird in den Konzernabschluss der Eurotunnel Plus Distribution S.A.S., Coquelles, Frankreich einbezogen. Dieser wird am Sitz der Muttergesellschaft offengelegt. 4.2. Angaben über die Mitglieder der Unternehmensorgane Alleinvertretungsberechtigte Geschäftsführer waren im Geschäftsjahr 2010: Glencross Morrison, Rechtsanwalt, Kenneth, St.Michaels, Tenterden, Kent, Großbritannien Giraud Joseph Roger Gérard Marc, Kaufmann, Saltwood, Hythe, Kent, Großbritannien Die Geschäftsführer sind von den Beschränkungen des § 181 BGB befreit. Da Herr Giraud das Unternehmen verlassen hat, leitet der Konzern gerade die Löschung als Geschäftsführer im Handelsregister vor. 4.3. Gewinnverwendung Der Jahresfehlbetrag in Höhe von TEUR 4 wird auf neue Rechnung vorgetragen.
