Umlaufbeschluss nach § 48 II GmbHG der Gesellschafter

der Mondi Wellpappe Ansbach GmbH

Die unterzeichnenden Gesellschafter der Mondi Wellpappe Ansbach GmbH mit Sitz in Ansbach beschließen hiermit unter Verzicht auf alle Frist- und Formvorschriften folgendes;

1.	Der Jahresabschluss zum 31.12.2012, abschließend mit einer Bilanzsumme von € 25.599.042,38 wird in der Fassung des mit dem uneingeschränkten Bestätigungsvermerk versehenen Prüfungsberichtes der Wirtschaftsprüfungsgesellschaft Deloitte & Touche, Nürnberg. festgestellt.
2.	Der Jahresüberschuss von € 7.606.480.48 wird auf neue Rechnung vorgetragen.
3.	Den Geschäftsführern der Gesellschaft wird für das Geschäftsjahr 2012 Entlastung erteilt.
4.	Zum Abschlussprüfer für das Geschäftsjahr 2013 wird die Wirtschaftsprüfungsgesellschaft Deloitte & Touche, Nürnberg, gewählt.
