Die alleinige Gesellschafterin Grundfos Holding A/S, Dänemark, vertreten durch den alleinvertretungsberechtigten Martin Palsa (schriftliche Vollmacht liegt vor), unter Verzicht auf alle Formen und Fristen für die Einberufung und die Durchführung der Versammlung, beschloss hiermit das Folgende: The sole shareholder Grundfos Holding A/S, Denmark, represented by Martin Palsa (Power of Attorney in writing available), under waiver of all formal procedures and deadlines for the invitation and conducting of shareholders' meeting, resolves upon the following:
1. Der Jahresabschluss und der Jahresbericht 2022 wird angenommen. 1. The annual accounts and business review for 2022 are adopted.
Die Bilanz per 31.12.2022 weist eine Bilanzsumme von EUR 146.881.534,26 auf. Das Eigenkapital beträgt EUR 69.317.852,48. Balance at 31st of December 2022 has a total of EUR 146.881.534,26. Equity is EUR 69.317.852,48.
Die Gesellschaft weist für das Geschäftsjahr 2022 einen Gewinn von EUR 26.858.612,21 aus. For the fiscal year 2022, the company reported win of EUR 26.858.612,21.
Bilanz sowie die Gewinn- und Verlustrechnung haben den uneingeschränkten Bestätigungsvermerk der EY GmbH & Co. KG, vom 21. Februar 2025 erhalten. Balance and Profit and Loss Statement have the auditor's certificate from EY GmbH & Co. KG, dated 21st of February 2025 without restrictions.
2. Aus dem Bilanzgewinn von EUR 64.179.352,48 werden EUR 51.849.000,00 als Dividende an den Gesellschafter ausgeschüttet. 2. A dividend of EUR 51.849.000,00 is to be distributed from the unappropriated profit of EUR 64.179.352,48.
Die Ausschüttung ist vorzunehmen bis zum 14. Werktag nach der Beschlussfassung. Der verbleibende Bilanzgewinn von EUR 12.330.352,48 wird auf neue Rechnung vorgetragen. The distribution is to be made by the 14th working day following the resolution. The remaining sum of EUR 12.330.352,48 is to be carried forward to new acpcount.
3. Der Geschäftsführung wird für das Geschäftsjahr 2022 Entlastung erteilt. 3. The management is discharged from liability for the business year 2022.
4. Die Ernst & Young GmbH & Co. KG, Wirtschaftsprüfungsgesellschaft, Stuttgart, wird zum Abschlussprüfer für die Geschäftsjahre 2023 und 2024 bestellt. 4. Ernst & Young GmbH & Co. KG, Wirtschaftsprüfungsgesellschaft, Stuttgart, is appointed as auditor of the financial statements for the 2023 and 2024 fiscal years.
5. Es gab keine Punkte zum Thema Sonstiges. 5. There is no further business to transact.
