Anhang des Jahresabschlusses zum 31. Dezember 2011A. Bilanzierungs- und BewertungsmethodenDie Bilanzierung und Bewertung der Vermögensgegenstände und Schulden ist nach den deutschen handelsrechtlichen Vorschriften für Kapitalgesellschaften vorgenommen worden. Aufgrund des Liquidationsbeschlusses vom 04.10.2012 wurde die Bilanzierung unter Liquidationsgesichtspunkten vorgenommen. Zum Bilanzstichtag erfüllte die Gesellschaft die Größenkriterien für kleine Kapitalgesellschaften gemäß § 267 Abs. 1 HGB. Auf die Abgrenzung latenter Steuern wird verzichtet. Das Anlagevermögen ist zu Anschaffungskosten, vermindert um planmäßige lineare Abschreibungen, aktiviert. Die Bankguthaben und sonstigen Vermögensgegenstände sind zum Nennwert angesetzt. In den Rückstellungen wird allen erkennbaren ungewissen Verbindlichkeiten mit dem erforderlichen Betrag angemessen Rechnung getragen. Die Rückstellungen und die Verbindlichkeiten sind mit dem Erfüllungsbetrag angesetzt. B. Erläuterungen des JahrsabschlussesBilanz zum 31. Dezember 2011 Die Verbindlichkeiten sind in Höhe von € 1.178.356,77 durch Briefgrundschulden und Forderungsabtretungen besichert. C. Sonstige Angaben1. Geschäftsführung Zu Geschäftsführern waren im Geschäftsjahr
bestellt. 2. Ergebnisverwendung Die Geschäftsführung schlägt vor, den Jahresfehlbetrag 2011 (€ 102.323,09) und den Verlustvortrag (€ 288.567,76) in voller Höhe auf neue Rechnung vorzutragen. 3. Rangrücktritt Zur Vermeidung der Überschuldung hat die Alleingesellschafterin bezüglich ihrer Darlehensansprüche in Höhe von € 80.000,-- den Rangrücktritt hinter die übrigen Gläubiger vereinbart. Daneben ist die Kapitalunterdeckung durch stille Reserven im Grundvermögen gedeckt. Der Jahresabschluss zum 31. Dezember 2011 war zum Zeitpunkt der Offenlegung noch nicht festgestellt. |
