Der Aufsichtsrat der Klemme AG hat die ihm gesetzlich und satzungsgemäß obliegenden Aufgaben während des Rumpfgeschäftsjahres vom 1. Mai 2013 bis 31. Juli 2013 wahrgenommen, die Arbeit des Vorstands überwacht und beratend begleitet. The supervisory board of Klemme AG fulfilled its duties, stated in the statutory law and the articles of association during the short/incomplete business year from 1 May 2013 until 31 July 2013 and supervised and advised the management board.

Der Jahresabschluss der Gesellschaft und der Lagebericht für das Rumpfgeschäftsjahr vom 1. Mai 2013 bis zum 31. Juli 2013 sind unter Einbeziehung der Buchführung von dem von der Hauptversammlung gewählten Abschlussprüfer, der PwC AG Wirtschaftsprüfungsgesellschaft, geprüft worden. Dieser hat den uneingeschränkten Bestätigungsvermerk erteilt. Der Prüfungsbericht der PwC AG Wirtschaftsprüfungsgesellschaft, lag allen Mitgliedern des Aufsichtsrates vor und ist in der Sitzung des Aufsichtsrates am 15. April 2015 ausführlich erörtert worden. Der Abschlussprüfer hat ausführlich berichtet und gab auf alle Fragen weitere Auskünfte. Die Ausführungen des Abschlussprüfers waren nachvollziehbar und plausibel. The annual account of the company and the management report for the short/incomplete business year from 1 May 2013 until 31 July 2013 including bookkeeping were audited by the auditor PwC AG Wirtschaftsprüfungsgesellschaft, elected by the shareholders' meeting. The auditor issued an unqualified audit opinion. The audit report of PwC AG Wirtschaftsprüfungsgesellschaft was displayed to all members of the supervisory board and was extensively discussed during the supervisory board's meeting on 15 April 2015. The auditor extensively reported to the supervisory board and gave further information to the questions asked. The information of the auditor was comprehensible and plausible.
Für das Rumpfgeschäftsjahr vom 1. Mai 2013 bis 31. Juli 2013 ergibt sich ein Jahresüberschuss in Höhe von EUR 0. Unter Anrechnung des Gewinnvortrages aus dem Rumpfgeschäftsjahr vom 1. Januar 2013 bis 30. April 2013 in Höhe von insgesamt EUR 69.749.793,44 besteht für dieses Rumpfgeschäftsjahr ein Bilanzgewinn in Höhe von EUR 69.749.793,44. In the short/incomplete business year from 1 May 2013 until 31 July 2013, annual net income amounts to EUR 0. Taking into account the profits carried forward from the short financial year from 1 January 2013 until 30 April 2013 year in the amount of EUR 69,749,793.44, the accumulated profits in this short financial year, amounts to EUR 69,749,793.44.
Der Jahresbericht und der Lagebericht wurden vom Aufsichtsrat geprüft. Es bestanden keine Ein- wände. Der Aufsichtsrat stimmte daher dem Ergebnis der Abschlussprüfung zu. The annual report and the report of the management were approved by the supervisory board. There was no objection. Therefore, the supervisory board consented to the result of the audit.
Der Aufsichtsrat hat in seiner Sitzung vom 15. April 2015 den vom Vorstand aufgestellten und von der PwC geprüften Jahresabschluss gebilligt. Der Jahresabschluss der Klemme AG ist damit gemäß § 172 AktG festgestellt. In the meeting on 15 April 2015, the supervisory board approved the annual account prepared by the management board and audited by PwC. Thus, the annual account of Klemme AG is approved pursuant to section 172 Stock Corporation Act.
Der Aufsichtsrat würdigt die positiven Resultate der Gesellschaft im Rumpfgeschäftsjahr vom 1. Mai 2013 bis 31. Juli 2013, die ausführlich im Lagebericht dargelegt sind. Er spricht dem Vorstand und allen Mitarbeitern der Klemme AG für ihren Einsatz und für die in diesem Geschäftsjahr geleistete Arbeit seinen Dank aus. The supervisory board acknowledges the positive results of the company in the short/incomplete financial year from 1 May 2013 until 31 July 2013, which are extensively laid down in the management report. It expressly thanks the management board and the employees of Klemme AG for their efforts and work during this business year.
