Gliederung des Jahresabschlusses, bilanzielle Überschuldung Der Jahresabschluss ist nach dem Dritten Buch des HGB aufgestellt. Die Gesellschaft fällt unter die Rechnungslegungsvorschriften für Kapitalgesellschaften (§§ 264 ff HGB). Sie ist klein im Sinne dieses Gesetzes. Die Gewinn- und Verlustrechnung wird nicht offengelegt und im Anhang nicht erläutert (§ 326 HGB). Die AKTIVA und PASSIVA sind unter der Annahme der Unternehmensfortführung bewertet, obwohl die Gesellschaft bilanziell überschuldet ist. Die Geschäftsführung ist der Ansicht, dass der Fortbestand der Gesellschaft mit hinreichender Gewissheit gesichert ist und die Krise überwunden werden kann. Um die insolvenzrechtlichen Folgen abzuwenden, ist der Alleingesellschafter mit seinen Forderungen gegenüber allen anderen Gläubigern der Gesellschaft im Rang zurück getreten. Außerdem hat er eine Patronatserklärung für den darüber hinaus gehenden Fehlbetrag abgegeben. II. Erläuterungen zu den AKTIVA Die Immateriellen Vermögensgegenstände sind zu Anschaffungs- und Herstellungskosten abzüglich aufgelaufener Abschreibungen angesetzt. Die übrigen Vermögensgegenstände einschließlich der liquiden Mittel sind zum Nennwert angesetzt. III. Erläuterungen zu den PASSIVA Die Rückstellungen sind in Höhe des Erfüllungsbetrages angesetzt, der nach vernünftiger kaufmännischer Beurteilung notwendig ist. Die Verbindlichkeiten sind zum Erfüllungsbetrag angesetzt. Sie sind sämtlich innerhalb eines Jahres fällig. Die Verbindlichkeiten betreffen mit 115.713,10 € (Vorjahr: 114.309,53 €) Gesellschafter.
