I. ALLGEMEINE ANGABEN ZUM JAHRESABSCHLUSS Gegenstand des Unternehmens ist die Entwicklung, Vermarktung und der Betrieb von Systemen und Lösungen für Kommunikation sowie zur Verbesserung von Sicherheit und zur Katastrophenvorsorge. Die Gesellschaft weist zum Abschlussstichtag die Größenmerkmale einer kleinen Kapitalgesellschaft gemäß § 267 Abs. 1 HGB auf. II. BILANZIERUNGS- UND BEWERTUNGSGRUNDSÄTZE Der vorliegende Jahresabschluss ist nach den Vorschriften des Dritten Buches des HGB (§§ 238 ff) unter Beachtung der ergänzenden Bestimmungen für Kapitalgesellschaften (§§ 264 ff HGB) aufgestellt worden. Die Bewertung erfolgte unter der Annahme der Fortführung der Unternehmenstätigkeit (§ 252 Abs. 1 Nr. 2 HGB). Soweit im Berichtsjahr hinsichtlich der im Vorjahr von den Gliederungsvorschriften des HGB und des AktienG abweichenden Positionen der Bilanz- und Gewinn- und Verlustrechnung Veränderungen vorgenommen wurden, wurde dem Prinzip der Darstellungsstetigkeit (§ 265 Abs. 1 HGB) durch Anpassung der Vorjahreszahlen entsprochen. Das Sachanlagevermögen wird zu Anschaffungs- oder Herstellungskosten vermindert um die steuerlich zulässigen Abschreibungen (linear) angesetzt. Geringwertige Wirtschaftsgüter werden gemäß § 6 Absatz 2 EStG im Jahr des Zugangs voll abgeschrieben. Forderungen aus Lieferungen und Leistungen sowie sonstige Vermögensgegenstände werden zum Nennwert vermindert um Wertberichtigungen und unter Beachtung des Niederstwertprinzips angesetzt. Flüssige Mittel werden zu Nominalwerten angesetzt. Bei der Bemessung der Rückstellungen wurden allen erkennbaren Risiken angemessen und ausreichend Rechnung getragen. Verbindlichkeiten wurden mit dem Erfüllungsbetrag angesetzt. III. ERLÄUTERUNGEN ZUR BILANZ Die Aufgliederung und die Bewegungen des Anlagevermögens sind dem Anlagespiegel zu entnehmen. Die sonstigen Rückstellungen betreffen - die Rückstellung für die verpflichtende Aufbewahrung der Geschäftsunterlagen (15 T€) - eine Rückstellung der zum Stichtag ausstehenden Rechnungseingänge (5 T€) - eine Rückstellung aus Verpflichtungen als Arbeitgeber - u.a. offene Urlaubstage, Beiträge zur Berufsgenossenschaft (13 T€) - der Tantiemeanspruch des Vorstandes (48 T€) - eine Rückstellung für Gewährleistungsverpflichtungen (2 T€) - die internen und externen Kosten für die Erstellung des Jahresabschlusses sowie für die Erstellung der Steuererklärungen des Jahres 2022 (4 T€) Die Fristigkeit der Verbindlichkeiten ergibt sich wie folgt:
IV. ANGABEN ZUR GEWINN- UND VERLUSTRECHNUNG Die Gewinn- und Verlustrechnung ist nach dem Gesamtkostenverfahren aufgestellt. Umsatzerlöse werden im Wesentlichen im Inland erzielt. Periodenfremde Erträge sind keine und periodenfremde Aufwendungen mit einem Betrag von 263 € in der Ergebnisrechnung enthalten. V. SONSTIGE ANGABEN Während des Zeitraums vom 01.01.2022 bis zum 31.12.2022 waren durchschnittlich 10 Arbeitnehmer beschäftigt. Alleinvertretungsberechtigtes Vorstandsmitglied im Geschäftsjahr 2022 war Herr Thomas Leitert. In Anwendung des § 286 Abs. 4 HGB unterbleiben Angaben über die Bezüge des Vorstandes. Die Feststellung bzw. Billigung des Jahresabschlusses erfolgte am: 04.06.2024 Während des Zeitraums vom 01.01.2022 bis zum 31.12.2022 waren durchschnittlich 10 Arbeitnehmer beschäftigt
