Handelsrecht I. Allgemeine Angaben Die Manura Zweite GmbH ist zum Bilanzstichtag 31. Juli 2019 eine Kleinstkapitalgesellschaft im Sinne des § 267a HGB. Der Zwischenabschluss wird nach den Rechnungslegungsvorschriften für Kleinstkapitalgesellschaften des Handelsgesetzbuches (HGB) aufgestellt. Mit Wirkung zum 31. Juli 2019 wurde die Liquidation der Gesellschaft beschlossen, in deren Umsetzung die Schlussbilanz zum 31. Juli 2019 aufgestellt wurde. Der Zwischenabschluss beinhaltet somit den Zeitraum vom 1. Januar 2019 bis zum 31. Juli 2019. Sitz der Manura Zweite GmbH ist Pullach im Isartal. Die Manura Zweite GmbH wird im Handelsregister Abteilung B des Amtsgerichts München unter der Nummer 181542 geführt. Die Manura Zweite GmbH beschäftigt keine Arbeitnehmer. Die Geschäftsführung geht bei der Bewertung der im Zwischenabschluss ausgewiesenen Vermögensgegenständen und Schulden nicht mehr von der Fortführung der Unternehmenstätigkeit nach § 252 Abs. 1 Nr. 2 HGB aus. II. Angaben zu den Bilanzierungs-, Bewertungs- und Ausweismethoden Bankguthaben, Forderungen und sonstige Vermögensgegenstände werden mit dem Nennwert bzw. mit dem niedrigeren beizulegenden Wert angesetzt. Sämtliche Forderungen und sonstigen Vermögensgegenstände sind innerhalb eines Jahres fällig. Das gezeichnete Kapital wird zum Nennwert bilanziert. Die atypisch stille Gesellschafterin Frankfurt No. 2 Limited hat sich mit einer Einlage in Höhe von € 9.952.978,09 an der Gesellschaft beteiligt. Im Rahmen von Nachträgen zum Vertrag über die atypisch stille Gesellschaft vom 31. Juli 2015 bzw. 28. Dezember 2015 und 31. Januar 2019 wurden Rückzahlungen der Einlagen von in Summe € 1.640.078,85 bzw. 6.500.000,00 vereinbart. Im Fall einer Zahlungsunfähigkeit oder Überschuldung bleibt der atypisch stille Gesellschafter auch in Höhe der Rückzahlungen nachschusspflichtig. Die Verlustübernahmeverpflichtung der atypisch stillen Gesellschafterin wurde mit dem Einlagekonto verrechnet. Rückstellungen wurden unter Berücksichtigung aller erkennbaren Risiken und ungewissen Verbindlichkeiten nach kaufmännischer Vorsicht angesetzt. Verbindlichkeiten sind mit ihren Erfüllungsbeträgen bilanziert. Die Gewinn- und Verlustrechnung wurde nach dem Gesamtkostenverfahren gemäß § 275 Abs. 2 HGB aufgestellt. III. Erläuterungen zu den Bilanzposten Die Forderungen gegen verbundene Unternehmen bestehen in Höhe von € 8.735,96 € (Vorjahr: € 62.977,09) gegen die mittelbaren und unmittelbaren Gesellschafter aus kurzfristigen Liquiditätshilfen. IV. Sonstige Angaben Geschäftsführer der Gesellschaft waren bis zum 31. Juli 2019: Herr Gregory Edward Elias, Anwalt, Curaçao Herr Samer Said M. Shaaban, Jeddah Als alleiniger Liquidator der Gesellschaft wird Herr Samer Said M. Shaaban mit Wirksamwerden der Auflösung bestellt. Gesellschafter der Gesellschaft sind: Zehlendorfer Welle No. 1 Holding Ltd., Anguilla Zehlendorfer Welle No. 2 Ltd., Anguilla
