AnhangI. Allgemeine Angaben zum Unternehmen Die Orchid Wind Power GmbH mit Sitz in Düsseldorf ist im Handelsregister des Amtsgerichts Düsseldorf unter der Nummer HRB 86345 eingetragen. II. Allgemeine Angaben zum Jahresabschluss Es handelt sich bei der Gesellschaft um eine kleine Kapitalgesellschaft gemäß § 267 Abs. 1 HGB. Die größenabhängigen Erleichterungen gemäß §§ 274a und 288 HGB wurden teilweise in Anspruch genommen. Die Bilanz zum 31. Dezember 2023 und die Gewinn- und Verlustrechnung vom 1. Januar 2023 bis zum 31. Dezember 2023 wurden entsprechend den Vorschriften der §§ 264 ff. HGB für große Kapitalgesellschaften aufgestellt. Soweit Wahlrechte für Angaben in der Bilanz, in der Gewinn- und Verlustrechnung oder im Anhang ausgeübt werden können, wurde teilweise ein Vermerk in der Bilanz bzw. in der Gewinn- und Verlustrechnung oder aber teilweise im Anhang gewählt. Die folgenden Erläuterungen im Anhang entsprechen in ihrer Reihenfolge dem Postenaufbau des gesetzlich vorgeschriebenen Gliederungsschemas. III. Angaben zu Bilanzierungs- und Bewertungsmethoden Der Jahresabschluss der Orchid Wind Power GmbH wurde auf Grundlage der Rechnungslegungsvorschriften des deutschen Handelsgesetzbuches und des Gesellschaftsvertrags aufgestellt. Der Jahresabschluss ist gemäß der §§ 242 ff. und §§ 264 ff. HGB sowie nach den einschlägigen Vorschriften des GmbHG aufgestellt worden. Liquide Mittel wurden mit dem Nennwert angesetzt. Die sonstigen Rückstellungen wurden für alle weiteren ungewissen Verbindlichkeiten gebildet und in Höhe des nach vernünftiger kaufmännischer Beurteilung notwendigen Erfüllungsbetrags angesetzt. Dabei wurden alle erkennbaren Risiken berücksichtigt. Die Verbindlichkeiten wurden zum Erfüllungsbetrag angesetzt. IV. Angaben zur Bilanz Das gezeichnete Kapital beläuft sich auf EUR 26.000,00. Die Anteile an verbundenen Unternehmen gegenüber der Starwind Offshore GmbH, Düsseldorf, sind uneinbringlich geworden. Daher wurde gemäß § 253 Abs. 3, Satz 5 HGB zum Bilanzstichtag eine außerplanmäßige Abschreibung auf den niedrigeren beizulegenden Wert getätigt. Die Beteiligung in Höhe von EUR 562.738.122,25 wurde auf einen niedrigeren beizulegenden Wert in Höhe von EUR 8.183.293,79 abgeschrieben. V. Sonstige Angaben Es sind keine Mitarbeiter in der Gesellschaft angestellt. Der Jahresabschluss der Orchid Wind Power GmbH wurde in den Konzernabschluss der Sojitz Corporation, Japan, einbezogen. Die Sojitz Corporation, Japan, stellt den Konzernabschluss für den größten Konzernkreis auf. sonstige Berichtsbestandteile
