an die Hauptversammlung über die Prüfung des Jahresabschlusses zum 31. Dezember 2013 gemäß § 171 Abs. 2 AktG

Der Aufsichtsrat der PlusServer AG nahm im Geschäftsjahr 2013 die ihm nach Gesetz und Satzung obliegenden Aufgaben wahr. Er ließ sich während des Berichtszeitraumes in sieben Sitzungen am 26. Februar, 22. März, 24. April, 3. Juni, B. Juli, 3. September und 21. Oktober 2013 und durch Vorlage von Berichten umfassend über den Gang der Geschäfte sowie die Lage des intergenia-Konzerns und die Lage der PlusServer AG sowie über grundsätzliche Fragen der Geschäftspolitik berichten.

Der Aufsichtsrat hat den Vorstand der PlusServer AG überwacht und die Entscheidungen getroffen, die ihm nach Gesetz und Satzung übertragen sind.

Die Ernst & Young GmbH Wirtschaftsprüfungsgesellschaft, Köln, ("E&Y") hat den Jahresabschluss der PlusServer AG zum 31. Dezember 2013 und den Lagebericht für das Geschäftsjahr 2013 gemäß §§ 316 ff. HGB geprüft.


In Übereinstimmung mit den gesetzlichen Vorschriften und den Grundsätzen ordnungsmäßiger Berichterstattung bei Abschlussprüfungen hat E&Y mit Datum vom 26. Mai 2014 dem Jahresabschluss zum 31. Dezember 2013 und dem Lagebericht 2013 den uneingeschränkter Bestätigungsvermerk des Abschlussprüfers erteilt.

Der Aufsichtsrat stimmt der Prüfungsergebnissen des Abschlussprüfers zu. Der Aufsichtsrat hat den von Seiten de; Vorstands vorgelegten Jahresabschluss Lagebericht sowie den Vorschlag über die Verwendung des Bilanzgewinns geprüft. Nach dem abschließenden Ergebnis des Prüfung sind Einwendungen nicht zu erheben. Der Aufsichtsrat billigt der Jahresabschluss zum 31. Dezember 2013 und den Konzernabschluss zum 31 Dezember 2013 einschließlich Lagebericht und Konzernlagebericht 2013. Dem Vorschlag des Vorstands über die Verwendung des Bilanzgewinns wird zugestimmt.		 Report of the supervisory board of

to the general meeting on the audit of the financial statements as of December, 31th 2013, pursuant to Sec. 171 para. 2 German Stock Corporation Act

In the business year 2013, the supervisory board has performed its duties in accordance with the articles of association and statutory law. In that period, the board has in seven meetings on February, 26 th, March, 22 nd, April, 24 th, June, 3 rd, July, September, 3 rd an October, 21 st 2013 obtained comprehensive information by presented reports about the company's business and the financial situation of the intergenia-Group and PlusServer AG and general information on fundamental issues of the business policy.

The supervisory board has controlled the management board of PlusServer AG and has taken actions delegated to it by law and the statutes.

Ernst & Young GmbH Wirtschaftsprüfungsgesellschaft, Cologne, ("E&Y") has audited the annual statement of PlusServer AG as of December, 31, 2013, and the situation report for the business year 2013 in accordance with Sec. 316 et seqq. German Commercial Code.

In accordance with the statutory legal requirements and the principles of proper reporting for audit services, E&Y has issued on May, 26, 2014, an unqualified audit certificate to the annual statement as of December, 31, 2013, and the management report 2013.


The supervisory board consents to the auditing results of the auditor. The supervisory board has itself examined the annual statement, the management report, and the proposal for the distribution of profits presented by the management board. The final result of the assessment has not lead to any reservations. The supervisory board approves the annual statement as of December, 31, 2013, comprising the management report 2013. The management boards' proposal for the distribution of profits is approved.
