***) Seit 01.01.2009 besteht ein Ergebnisabführungsvertrag mit der DIC DP Portfolio GmbH.
Sämtliche Forderungen und sonstige Vermögensgegenstände haben eine Restlaufzeit bis zu einem Jahr.
Unter den Forderungen und sonstigen Vermögensgegenstände werden Forderungen gegen Gesellschafter in Höhe von EUR 36.065.130,59 (Vorjahr: EUR 2.545.657,15) ausgewiesen.
Es besteht eine Ausschüttungssperre gem. § 268 Abs. 8 HGB für aktive latente Steuern in Höhe von EUR 63.552,57.
Mit Gesellschafterbeschluss vom 04. Januar 2010 wurde gemäß § 272 Abs. 2 Nr. 4 HGB EUR 17.500.000,00 in die Kapitalrücklage eingestellt. Die Einlage erfolgte durch Verwendung der Gesellschafterdarlehen.
Sämtliche Verbindlichkeiten haben eine Restlaufzeit bis zu einem Jahr.
Gegenüber Gesellschaftern bestehen Verbindlichkeiten in Höhe von EUR 7.991.947,86 (Vorjahr: EUR 26.800.728,55).
IV. Sonstige Angaben
Zum 31. Dezember 2010 haftet die Gesellschaft gesamtschuldnerisch für Bankverbindlichkeiten verbundener Unternehmen in Höhe von EUR 102.912.172,00. Aufgrund der wirtschaftlichen Lage unserer verbundenen Unternehmen sehen wir derzeit kein Risiko der Inanspruchnahme.
Die Geschäftsführung wurde durch die Geschäftsführer
Markus Koch, Diplom-Kaufmann und
Dr. Jürgen Schäfer, Jurist, Immobilienökonom (ebs), MRICS (bis 30.09.2010)
wahrgenommen.
Die Geschäftsführung schlägt der Gesellschafterversammlung vor, den Jahresfehlbetrag in Höhe von EUR 186.140,57 sowie den Gewinnvortrag in Höhe von EUR 43.006,55 auf neue Rechnung vorzutragen.
Die Gesellschaft ist gemäß § 271 Abs. 2 HGB i.V.m. § 290 HGB ein verbundenes Unternehmen der DIC Asset AG, Frankfurt am Main, und wird in deren Konzernabschluss einbezogen. Die DIC Asset AG stellt den Konzernabschluss für den kleinsten und größten Kreis an Unternehmen auf. Er wird beim Betreiber des elektronischen Bundesanzeigers eingereicht.
