Gesellschafterbeschluss der LGC Germany Holdings 1 GmbH

Die LGC Beteiligungs GmbH mit Sitz in 46485 Wesel, Mercatorstrasse 51, ist die alleinige Gesellschafterin der LGC Germany Holding 1 GmbH mit Sitz in Wesel, eingetragen im Handelsregister Berlin Charlottenburg unter HRB 227480 („Gesellschaft“).

Unter Verzicht auf die Einhaltung sämtlicher gesetzlicher und gesellschaftsvertraglicher Formen und Fristen der Einberufung und Abhaltung einer Gesellschafterversammlung, einschließlich der Ankündigung einer Tagesordnung, hält die LGC Beteiligungs GmbH („Gesellschafter“) hiermit eine Gesellschafterversammlung der LGC Germany Holding 1 GmbH ab.

Es werden die folgenden einstimmigen Beschlüsse gefasst:

1. Feststellung des Jahresabschlusses zum 31.03.2022

Der Jahresabschluss der LGC Germany Holding 1 GmbH zum 31.März 2022, der ein Eigenkapital von EURO 14.467,73, eine Bilanzsumme von EURO 53.972.403,41 und in der Gewinn- und Verlustrechnung einen Jahresfe von EURO 1.283.327,12 ausweist, wird festgestellt.

2. Verwendung des Jahresergebnisses

Der Jahresüberschuss in Höhe von EUR 1.283.327,12 wird verrechnet mit dem Verlustvortrag von EUR 80.815,68 und wird auf neue Rechnung vorgetragen. Der neue Gewinnvortrag beträgt EUR 1.202.511,44.

3. Entlastung der Geschäftsführung

Der Geschäftsführung wird Entlastung für das Geschäftsjahr 2021/2022 erteilt.
