ANHANG FÜR DAS GESCHÄFTSJAHR VOM 01.11.2013 BIS ZUM 31.10.2014Allgemeine Angaben Für die Aufstellung des Jahresabschlusses fanden hinsichtlich der Bilanzierung und der Bewertung die Vorschriften des Handelsgesetzbuches (HGB) Anwendung. Die Gesellschaft ist eine kleine Kapitalgesellschaft im Sinne des § 267 Abs. 1 HGB. Der Jahresabschluss wurde unter der Annahme der Stilllegung des Geschäftsbetriebes aufgestellt. Das going concern Prinzip wurde nicht angewandt (§ 252 Abs. 1 Nr. 2 HGB). Über das Vermögen der Gesellschaft wurde am 1. Oktober 2009 das Insolvenzverfahren eröffnet. Gemäß IDW HFA 17 ist die Insolvenzeröffnung als wertaufhellende Tatsache zum Abschlussstichtag zu berücksichtigen. Die Vermögensgegenstände und Schulden wurden unter Stilllegungs- bzw. Veräußerungsgesichtspunkten bewertet. Stille Reserven und stille Lasten wurden, soweit vorhanden, aufgedeckt. Die Aufdeckung ggf. vorhandener stiller Reserven erfolgte jedoch höchstens bis zu den ursprünglichen Anschaffungskosten. Gliederung Die Bilanz wurde nach den Gliederungsvorschriften des § 266 Abs. 2 und 3 HGB, die Gewinn- und Verlustrechnung nach dem Gesamtkostenverfahren gem. § 275 Abs. 2 HGB aufgestellt. Bilanzierungs- und Bewertungsgrundsätze Das Anlagevermögen ist mit Anschaffungskosten bewertet, die um planmäßige Abschrei-bungen reduziert sind. Die Abschreibungen auf das Anlagevermögen erfolgten überwiegend linear. Erforderliche Teilwertabschreibungen wurden vorgenommen. Kassenbestände sowie Guthaben bei Kreditinstituten wurden zum Nennwert angesetzt. Die Rückstellungen wurden in Höhe des Betrages gebildet, der nach vernünftiger kaufmännischer Beurteilung erforderlich ist, um alle am Bilanzstichtag erkennbaren Risiken abzudecken. Zur Vereinzelung verweisen wir auf den Kontennachweis zur Bilanz (Anlage 6). Verbindlichkeiten wurden zum Erfüllungsbetrag bewertet. Erläuterungen zur Bilanz Verbindlichkeiten Die Verbindlichkeiten haben eine Restlaufzeit von unter einem Jahr. Eigenkapitalausstattung Die Gesellschaft war zum Abschlussstichtag in Höhe von T€ 16.994 bilanziell überschuldet. Sonstiges Mitglieder des Vorstandes Im Geschäftsjahr vom 01.11.2013 bis zum 31.10.2014 war Vorstand:
Haftungsverhältnisse Haftungsverhältnisse gemäß § 251 HGB bestanden nicht. Insolvenzverfahren Am 1. Oktober 2009 wurde vom Amtsgericht Köln das Insolvenzverfahren über das Vermögen der TDMi AG, Köln, eröffnet. Zum Insolvenzverwalter wurde ernannt:
