Januar 2017der VCE Technology Solutions GmbHAllgemeine Angabe zum Unternehmen Angaben zur Identifikation der Gesellschaft gemäß § 264 Abs. 1a HGB: Firma und Sitz: VCE Technology Solutions GmbH, München Registergericht: Handelsregister B des Amtsgerichtes München, Eintragung unter HRB 197843 Allgemeines, Angaben zur Bilanzierungs- und Bewertungsmethoden Der Jahresabschluss zum 31.01.2017 wurde nach den Rechnungslegungsvorschriften des Handelsgesetzbuches (HGB) i. d. F. des Bilanzrichtlinienumsetzungsgesetzes (BilRUG) aufgestellt. Ergänzend waren die Regelungen des GmbH-Gesetzes zu beachten. Die Gliederung der Bilanz sowie der Gewinn- und Verlustrechnung entspricht den Vorschriften der § 266 Abs. 2 und 3 sowie § 275 HGB. Bei der Gesellschaft handelt es sich um eine kleine Kapitalgesellschaft gem. § 267 Abs. 1 HGB. Die größenabhängigen Erleichterungen gemäß § 276 S. 1 und § 288 Abs. 1 S. 1 HGB wurden von der Gesellschaft in Anspruch genommen. Angaben, die wahlweise in der Bilanz, in der Gewinn- und Verlustrechnung oder im Anhang gemacht werden können, sind insgesamt im Anhang aufgeführt. Das gesellschaftsvertragliche Geschäftsjahr der Gesellschaft wurde durch Gesellschafterbeschluss vom 29.12.2016 abweichend vom Kalenderjahr geändert. Dieses beginnt zukünftig am 01.02. eines Kalenderjahres und endet am 31.01. des darauffolgenden Kalenderjahres. Auf Grund dessen stellt das Berichtsjahr vom 01.01.2017 bis zum 31.01.2017 ein Rumpfwirtschaftsjahr dar und daher ist die Vergleichbarkeit der Vorjahreszahlen nur eingeschränkt möglich. Bilanzierungs- und Bewertungsmethoden angewandt: Das Anlagevermögen ist zu Anschaffungskosten angesetzt und wird über die betriebsgewöhnliche Nutzungsdauer linear abgeschrieben. Die Forderungen und sonstigen Vermögensgegenstände werden mit dem Nennwert oder mit dem am Bilanzstichtag niedrigeren beizulegenden Wert angesetzt. Die Guthaben bei Kreditinstituten sind mit dem Nennwert angesetzt. Die Steuer- und sonstigen Rückstellungen sind in Höhe des nach vernünftiger kaufmännischer Beurteilung notwendigen Erfüllungsbetrags angesetzt. Verbindlichkeiten werden mit dem Erfüllungsbetrag angesetzt. Die Umrechnung von Geschäftsvorfällen in fremder Währung erfolgte bei den Forderungen mit dem Geldkurs am Entstehungstag bzw. mit dem niedrigeren Kurs am Abschlussstichtag sowie bei den Verbindlichkeiten mit dem Briefkurs am Entstehungstag bzw. dem höheren Kurs am Abschlussstichtag. Erläuterungen zur Bilanz und zur Gewinn- und Verlustrechnung Die Forderungen und sonstigen Vermögensgegenstände haben jeweils eine Restlaufzeit von weniger als einem Jahr. In den Forderungen sind Forderungen gegen Gesellschafter in Höhe von EUR 1.103.961,11 (Vj: EUR 1.299.001,81) enthalten. Die Verbindlichkeiten in Höhe von EUR 35.547,79 (Vj: EUR 24.665,10) sind innerhalb eines Jahres fällig. Die Geschäftsführung schlägt vor den Jahresüberschuss von EUR 31.864,02 auf neue Rechnung vorzutragen. Sonstige Angaben Die VCE Technology Solutions GmbH hat eine Vereinbarung mit dem verbundenen Unternehmen EMC Deutschland über die Entsendung von Mitarbeitern und damit zusammenhängenden Dienstleistungen getroffen. Die Gesellschaft erstattet dem verbundenen Unternehmen alle Löhne, die an die Mitarbeiter zu zahlen sind, sowie alle anderen damit verbundenen Kosten und Kosten im Zusammenhang mit der Entsendung. Im Berichtsjahr wurden durchschnittlich 17 Arbeitnehmer beschäftigt. Die Geschäftsführung erfolgte im Berichtsjahr sowie bis zum 01.03.2017 durch Herrn Christopher Smith, Kaufmann. Seit dem 01.03.2017 erfolgt die Geschäftsführung durch Frau Shirley Creed, Managing Director.
