Der Jahresabschluss der Link Asset Services GmbH für das Geschäftsjahr zum 30. Juni 2019 wurde nach den Vorschriften des Handelsgesetzbuches und des GmbH-Gesetzes aufgestellt.

Die Gesellschaft ist eine kleine Kapitalgesellschaft i.S.d. § 267 Abs. 1 HGB.

Im Geschäftsjahr zum 30. Juni 2019 waren durchschnittlich 5 Mitarbeiter beschäftigt.

Gesellschafter

Die Gesellschaft ist eine 100%ige Tochtergesellschaft der Link Asset Services (Holdings) Limited, London, Vereinigtes Königreich. Damit sind die Link Asset Services GmbH und die Link Asset Services (Holdings) Limited, London, Vereinigtes Königreich, verbundene Unternehmen im Sinne des § 271 HGB.

Nicht durch Eigenkapital gedeckter Fehlbetrag

Zum 30. Juni 2019 weist die Gesellschaft einen nicht durch Eigenkapital gedeckten Fehlbetrag in Höhe von € 2.030.838,55 aus.

Liquiditätsengpässe werden durch das verbundene Unternehmen Link Asset Services Ireland Limited, Dublin, Irland, kompensiert. In diesem Zusammenhang hat die Link Asset Services Ireland Limited, Dublin, Irland, der Gesellschaft, mit Vereinbarung vom 19. Juni 2020, eine Finanzierungszusage in unbegrenzter Höhe gewährt.

Um die Überschuldung der Gesellschaft zu vermeiden, hat sich die Link Asset Services Ireland Limited, Dublin, Irland, aufgrund einer Rangrücktrittsvereinbarung verpflichtet, hinsichtlich ihrer ausstehenden Forderungen zum 30. Juni 2019 in unbegrenzter Höhe hinter allen Forderungen - inklusive den in § 39 Abs. 1 Nr. 1 bis 5 InsO genannten Forderungen - aller gegenwärtigen und zukünftigen Gläubiger der Gesellschaft im Range zurückzutreten. Der Rangrücktritt umfasst auch die vertraglichen Ansprüche auf Zinsen und Kosten.

Der Nachrang gilt auch in einem Insolvenz- oder Liquidationsverfahren über das Vermögen der Gesellschaft.

Der Rangrücktritt gilt, solange und soweit durch eine teilweise oder vollständige Befriedigung des im Rang zurückgetretenen Anspruchs der Gläubigerin eine Überschuldung oder Zahlungsunfähigkeit im insolvenzrechtlichen Sinne der Gesellschaft entsteht oder zu entstehen droht.

Zahlungen auf die Forderungen der Link Asset Services Ireland Limited, Dublin, Irland, sind danach lediglich aus einem Jahresüberschuss oder aus einem sonstigen freien Vermögen oder aus einem etwaigen Liquidationsüberschuss zu leisten.
